Description
Core Responsibilities:
Provide legal counsel and support on a broad range of legal issues related to health law compliance, corporate governance, mergers and acquisitions, employment law, and business litigation.
Consistent exercise of independent judgment and discretion in matters of significance.
Oversee the completion of projects including planning, assigning, monitoring, reviewing progress and accuracy of work, and evaluating results.
Assist in due diligence for domestic and international mergers and acquisitions.
Work with business counterparts, both domestically and internationally, to identify and provide advice regarding legal risks and issues.
Assist executive management with other legal needs of the company as necessary and contribute to the overall legal function of an international company.
Develop a thorough understanding of and familiarity with the company‘s business, its people, products, technology, markets, customers and competitors in order to assist the company in meeting overall business objectives;
Provide training and make presentations to company personnel regarding legal issues;
Perform legal research when and as necessary to resolve legal issues and determine the appropriate course of action regarding a particular issue or case.
Requirements
Qualifications:
In good standing with a state bar, with ability to register as Pennsylvania In-House Counsel.
Excellent negotiating, drafting,
problem solving
and communications skills.
Integrity, excellent legal judgment and business acumen, and strong
leadership
skills;
Able to concisely communicate complex legal issues and make recommendations to corporate and executive management on various legal issues;
Ability to work effectively with management and operations personnel, simultaneously manage multiple projects, and meet deadlines with consistently high quality work product.
Experience managing and working with external resources, including law firms and consultants.
Ability to work independently on a wide variety of tasks in a proactive manner.
Pragmatic judgment, particularly in determining the significance of legal matters and effectively measuring and balancing legal and business risks;
Experience with
health law, including Medicare Part B reimbursement, HIPAA, and other privacy regulations a plus.
