Role Summary
We are looking for a seasoned Head – Legal & Company Secretary to lead the organization’s legal, secretarial, and compliance functions. The role will be responsible for driving IPO readiness and execution, ensuring strong corporate governance, and managing regulatory compliance across all applicable laws.
This position requires a strategic leader with hands-on experience in capital markets, SEBI regulations, and end-to-end IPO processes.
🎯 Key Responsibilities
1. IPO & Capital Market Leadership
- Lead end-to-end IPO process including pre-IPO structuring, documentation, and post-listing compliance
- Liaise with merchant bankers, legal advisors, SEBI, stock exchanges, and other stakeholders
- Ensure compliance with SEBI (ICDR), LODR, PIT, and SAST regulations
- Support fundraising initiatives such as private placements, QIP, and rights issues
2. Corporate Governance & Board Management
- Manage Board Meetings, Committees, and AGMs including agenda, minutes, and resolutions
- Ensure compliance with Companies Act, 2013 and governance standards
- Advise leadership and Board on corporate governance best practices
- Maintain statutory registers and records
3. Legal & Compliance Management
- Oversee organization-wide legal and regulatory compliance
- Ensure timely ROC filings, disclosures, and statutory compliances
- Handle regulatory audits, inspections, and secretarial audits
- Ensure compliance with FEMA, RBI, and foreign investment laws
4. Legal Advisory & Contract Management
- Lead drafting, vetting, and negotiation of agreements (commercial, shareholder, vendor, etc.)
- Provide legal guidance to internal stakeholders across functions
- Manage litigation, disputes, and external counsel
5. M&A, Structuring & Strategic Initiatives
- Support mergers, acquisitions, restructuring, and joint ventures
- Conduct legal and secretarial due diligence
- Handle cross-border structuring and regulatory approvals
6. Stakeholder & Regulatory Liaison
- Act as a key interface with SEBI, ROC, RBI, Stock Exchanges, and other authorities
- Coordinate with auditors, consultants, and legal firms
7. Team Leadership
- Build and lead a high-performing Legal & Secretarial team
- Drive process improvements, digitization, and compliance frameworks
- Foster a strong risk-aware and governance-driven culture
✅ Key Requirements
- Proven experience in IPO execution / listed company compliance
- Strong knowledge of:
- SEBI regulations (ICDR, LODR, PIT, SAST)
- Companies Act, 2013
- FEMA & RBI guidelines
- Experience in stakeholder management & regulatory interactions
- Strong leadership, communication, and strategic thinking skills
