Position: Group Legal Counsel (On-Site Representative)

Location: Panipokhari, Kathmandu Nepal
JOB SUMMARY
The Group Legal Counsel serves as the Company’s dedicated on-site legal representative, responsible for managing all legal proceedings across all business units and subsidiaries (including Dash Logistics and other operational verticals). The incumbent shall handle the complete lifecycle of legal cases from police reporting and investigation through court litigation and final disposition.
This role is designed to professionalize the Company’s legal functions, ensure regulatory compliance, mitigate legal risks, and provide strategic legal advice to management. The individual shall act as the primary liaison between the Company’s CEO/CFO and Prime Legal Consultance, ensuring seamless coordination and alignment on all legal matters.
The candidate will have excellent communication and organizational skills, demonstrate sound judgment even in ambiguous situations, and be able to prioritize and multitask in a fast-paced environment.
2. KEY RESPONSIBILITIES
A. Legal Proceedings and Representation
Responsibility description:
Police Liaison-Serve as the primary point of contact for law enforcement agencies across all company divisions. Respond to police calls, attend police stations, and manage inquiries related to cases arising from any business unit. Ensure proper registration of First Information Reports (FIRs) as required by law.
Court Litigation-Represent the Company and all its subsidiaries in all court hearings, including District Courts, Appellate Courts, and other judicial forums.
Case Calendar Management
Attend all scheduled court dates (“Tarik”), maintain a comprehensive case calendar, and ensure no procedural defaults occur.
Drafting Legal Documents-Draft, review, and file plaints (firaad-patra), written statements (pratiuttar/jawaab), rejoinders, petitions, applications, and other legal documents as required.
Court Summons Management
Manage the receipt of court summons and date warrants, ensuring timely responses and appearances.
Akhtiyari (Power of Attorney)-Execute Akhtiyari and other legal instruments to formalize authority to legally bind any business unit in legal and administrative matters. Prepare, attest, and register Special Powers of Attorney (Adhikrit Waresnama) for court representation in compliance with Section 153 of the Civil Procedure Code, 2074.
Case Filing and Response-Initiate legal action on behalf of any department against external parties, vendors, clients, riders, or contractors for uncollected payments, discrepancies, contract violations, or other breaches. Defend the Company against claims filed by third parties.
B. Strategic Legal Oversight
Responsibility description
Case Investigation-Conduct thorough investigations and reviews of all incident reports, legal notices, and dispute cases submitted by any business unit to build strong and defensible legal cases.
Evidence Management-Manage evidence and coordinate with operations teams across all divisions to prepare Company witnesses for court appearances and examinations.
Legal Risk Assessment-Provide proactive legal risk assessments to management regarding operational practices, contractual relationships, and regulatory compliance.
Dispute Resolution-Explore and pursue alternative dispute resolution mechanisms (settlement, mediation, negotiation) where appropriate to achieve cost-effective and timely resolutions. Seat with other investigation team during the face-to-face interview (Bayan) with accuser or against party and provide the solution.
Task force Committee-Play the advisory role in each of the task force committee set by the Team leaders.
C. Consultancy Coordination (Prime Legal Consultance)
Responsibility description
Liaison Role-Act as the primary on-site link between the Company and Prime Legal Consultance, ensuring that all legal strategies are aligned and that management receives timely, high-quality legal advice.
Escalation Protocol-Escalate complex legal matters, high-stakes litigation, or regulatory issues to Prime Legal Consultance for advanced consultation and strategic input.
Strategic Alignment-Ensure that all legal actions and advice are consistent with the broader legal framework and best practices recommended by Prime Legal Consultance.
D. Administrative and Compliance
Responsibility description
Legal Advisory-Provide timely and actionable legal advice to management, department heads, and operational teams regarding contracts, company policies, regulatory changes, and dispute resolution strategies across the entire business portfolio.
Centralized Documentation-Maintain meticulous, centralized records of all legal cases, correspondences, court orders, police reports, and other legal documents for every business unit.
Policy Development-Review and update company policies, standard operating procedures (SOPs), and contract templates across all divisions to prevent future legal disputes and ensure group-wide compliance with prevailing laws.
Management Reporting-Prepare and submit regular legal reports (weekly/monthly) to the CEO and CFO on all active cases, their status, potential financial implications, and strategic recommendations.
Contract Review-Review and vet contracts, agreements, and legal documents entered into by any business unit to protect the Company’s legal interests.
Training and Knowledge buildup program
Organize and train the staffs of the group related to existing and changes made in Nepal Law and its applications.
QUALIFICATIONS
Criteria requirement
Education
Bachelor of Laws (LL.B.) from a recognized university. A Master’s degree (LL.M.) is preferred.
Experience
Minimum of 5–8 years of post-qualification experience in litigation, corporate law, and/or multi-divisional legal management. Experience in the transport, logistics, or service-delivery sectors is highly advantageous.
Licensing
Must be an enrolled advocate with the relevant Bar Council and hold a valid license to practice law in Nepal.
Technical Skills
Strong knowledge of Nepali procedural law (Civil Procedure Code, 2074; Criminal Procedure Code, 2074), evidence law, commercial contract law, business law and regulatory frameworks.
Drafting Skills
Proven ability to draft high-quality legal documents, including plaints, petitions, written statements, legal notices, and Power of Attorney documents.
Soft Skills
Excellent negotiation, analytical, communication, and interpersonal skills. Ability to work independently, manage a high volume of cases across multiple departments, and prioritize effectively. Strong ability to coordinate between external consultants and internal management. Demonstrated sound judgment even in ambiguous situations.
Language Proficiency
Fluency in both Nepali and English (written and spoken) is required.

Corporate Deterrence-Demonstrable reduction in the incidence of contractual discrepancies, unpaid collections, and legal disputes attributable to proactive legal action.
Management Reporting-Regular (weekly/monthly) submission of comprehensive legal status reports to the CEO and CFO.
Consultancy Coordination-Effective escalation and communication with Prime Legal Consultance on all complex legal matters, with documented alignment on legal strategy.
5. REPORTING STRUCTURE AND AUTHORITY

CEO and CFO of the Company — for operational matters, case updates, financial implications, and strategic business alignment.
Authority
Authorized to represent all subsidiaries and business units of the Company in all legal matters as per the defined scope. Empowered to execute Akhtiyari documents (Adhikrit Waresnama) authorized by the Board of Directors and to make legal arguments and strategic decisions to protect the Company’s interests in court across all operational verticals.
Limitations
Must seek prior approval from: (a) Prime Legal Consultance for major strategic litigation decisions, appeals, or complex legal interpretations; and (b) CEO/CFO for any financial settlements, compromises, or actions that may have significant financial or reputational impact on the Company.
6. TERMS AND CONDITIONS
- The Group Legal Counsel shall work in close coordination with the operations, finance, and human resources departments to ensure comprehensive legal support.
- The incumbent shall maintain strict confidentiality regarding all legal matters and sensitive company information.
- The individual shall adhere to the professional code of conduct prescribed by the relevant Bar Council and the standards of Prime Legal Consultance.
- Any deviations from the defined scope of work or significant legal risks must be promptly communicated to both Prime Legal Consultance and the CEO/CFO.
- The incumbent shall maintain a professional appearance and demeanor when representing the Company in court, at police stations, and before regulatory bodies.
- The incumbent shall exercise independent professional judgment in all legal matters while aligning with the Company’s business objectives and risk tolerance.
