POSITION SUMMARY

The Governance & Compliance Officer is responsible for leading and maintaining the organisation's governance frameworks, compliance programmes, and people systems. This role takes ownership of information security certification processes including SOC 2 Type II while ensuring robust HR policies, employment practices, and organisational standards are maintained in alignment with New Zealand legal requirements and international best-practice frameworks. The role requires cross-functional coordination with administration, IT vendors, and leadership to drive compliance outcomes across the organisation.

KEY RESPONSIBILITIES

Governance & Compliance

  • Lead and manage the organisation's SOC 2 Type II certification process, including control mapping, evidence collection, vendor coordination, and audit readiness
  • Develop, implement and continuously improve governance frameworks, compliance policies, and internal control documentation
  • Lead B Corp certification efforts by aligning governance and HR practices with social, environmental, and ethical benchmarks
  • Draft, review and maintain policy documents, employment agreements, vendor contracts and governance manuals ensuring compliance with NZ employment law and best-practice standards
  • Monitor regulatory developments and ensure the organisation remains compliant with applicable NZ laws, data privacy requirements, and information security standards
  • Coordinate with administration, operations, and external vendors to ensure compliance processes are embedded across the organisation
  • Maintain and consolidate all HR, governance, and health and safety policies into a comprehensive HR and Governance Management Manual

People & Culture

  • Establish and document HR systems and structures, including job descriptions, performance appraisal frameworks, onboarding, and exit processes
  • Implement performance management and talent development programmes
  • Assist in employee engagement initiatives, culture-building activities, meetings, and grievance resolution
  • Foster an inclusive, diverse, and positive workplace culture
  • Ensure health and safety policies and practices are current, documented, and actively implemented across the organisation

SKILLS & KNOWLEDGE

  • Strong knowledge of compliance frameworks, information security standards and governance best practices including SOC 2
  • Demonstrated understanding of New Zealand employment law, data privacy legislation, and health and safety requirements
  • Experience leading certification processes such as SOC 2, B Corp or equivalent
  • Ability to draft, review and manage governance documentation, employment contracts and policy frameworks
  • Strong cross-functional coordination and stakeholder management skills — ability to work effectively with administration, IT vendors, operations and leadership
  • Proficiency in Microsoft 365, document management platforms, and compliance management tools such as Vanta or equivalent

QUALIFICATIONS & EXPERIENCE

  • Tertiary Qualificaton in Human Resources, Business or a related field
  • Minimum 4 years’ experience in governance, compliance, or HR roles
  • Demonstrated experience leading information security or compliance certification programmes
  • Experience in policy development, contract management and governance documentation
  • Proven ability to work in growing or evolving organisations where processes are being built and improved
  • Understanding of New Zealand employment law, data privacy, and organisational compliance frameworks
  • Experience working with or coordinating across multiple teams and external vendors to achieve compliance outcomes
