General Counsel (Michigan Licensed Attorney)

Job Summary

Shcalo Group Corporation is seeking a dynamic, business-minded, and highly motivated General Counsel to serve as the Company’s chief legal advisor and lead all legal affairs. This position will provide practical legal guidance to executive management while protecting the Company’s legal and business interests.

The General Counsel will oversee corporate legal matters, litigation, contract negotiations, regulatory compliance, employment matters, risk management, and corporate governance. The successful candidate must be licensed to practice law in the State of Michigan and be capable of representing the Company in court proceedings, directing litigation strategy, and managing outside counsel.

Essential Duties & Responsibilities Corporate Legal Affairs

  • Serve as the Company’s primary legal advisor to executive leadership.
  • Provide legal guidance on business operations, strategic initiatives, and corporate governance.
  • Identify legal risks and recommend practical business solutions.
  • Ensure compliance with federal, state, and local laws and regulations.

Litigation Management & Court Representation

  • Manage all litigation involving the Company.
  • Represent the Company in Michigan state and federal courts, administrative hearings, mediations, arbitrations, and settlement conferences, when appropriate.
  • Prepare pleadings, motions, legal briefs, discovery responses, and deposition materials.
  • Develop litigation strategy and oversee outside counsel.
  • Coordinate trial preparation, witness preparation, and settlement negotiations.
  • Respond to subpoenas, government investigations, and regulatory inquiries.

Contracts & Business Transactions

  • Draft, review, negotiate, and administer commercial agreements.
  • Review customer, vendor, subcontractor, employment, confidentiality, lease, and service agreements.
  • Advise management on contractual obligations and legal risks.
  • Support business acquisitions, financing, and corporate transactions as needed.

Employment & Labor Law

  • Advise management regarding hiring, discipline, termination, wage and hour issues, OSHA compliance, workers’ compensation, discrimination, and employment disputes.
  • Conduct internal investigations and recommend appropriate legal actions.

Compliance & Risk Management

  • Develop and implement company compliance policies.
  • Monitor changes in laws affecting company operations.
  • Conduct legal training for management and employees.
  • Promote ethical business practices throughout the organization.

Legal Research & Case Management

  • Conduct legal research using LexisNexis, Westlaw, and other legal research tools.
  • Maintain litigation files and legal documentation.
  • Manage legal deadlines and ensure compliance with court procedures.

Required Qualifications

  • Juris Doctor (J.D.) from an accredited law school.
  • Active license to practice law in the State of Michigan (Member in Good Standing of the State Bar of Michigan) is required.
  • Minimum 2–3 years of legal experience in corporate law, commercial litigation, contract law, employment law, or related practice areas.
  • Experience representing clients or organizations in court proceedings, hearings, mediations, depositions, and negotiations.
  • Ability to independently manage litigation and coordinate trial preparation.
  • Experience drafting and negotiating commercial contracts.
  • Strong knowledge of Michigan and federal business laws.
  • Excellent legal research skills using LexisNexis, Westlaw, or similar legal research platforms.
  • Outstanding analytical, negotiation, advocacy, and communication skills.
  • Ability to manage multiple legal matters while maintaining strict confidentiality.

Preferred Qualifications

  • Previous experience as Corporate Counsel, Associate Attorney, or Assistant General Counsel.
  • Experience supporting manufacturing, logistics, construction, engineering, or industrial service companies.
  • Familiarity with OSHA, DOT, commercial collections, bankruptcy, contract disputes, and employment litigation.
  • Admission to practice before the U.S. District Court for the Eastern and/or Western District of Michigan is preferred.

Pay: $80,000.00 – $100,000.00 per year
