Our client, one of the reputed entities in Abu Dhabi (Semi govt), a Manufacturing company is looking to hire a General Counsel / Head of Legal, Compliance & Company Secretary.

Salary Budget: AED 70,000 ++ Benefits

Overview: The General Counsel will serve as the senior legal advisor and leader of the legal department at United Printing and Publishing. The GC will be responsible for managing all legal affairs, providing strategic counsel to senior leadership, and ensuring that the company operates within the bounds of the law and maintains the highest ethical standards. The GC will play a key role in managing legal risks, negotiating contracts, and addressing legal compliance issues.

Job responsibility:

Develop and execute the company’s legal strategy to align with business objectives.

Provide leadership, guidance, and mentorship to the legal department, fostering a culture of excellence Legal Leadership and Strategy:

and collaboration.

Build, develop, and lead a multinational team of Legal professionals including UAE nationals.

Regulatory Compliance:

Stay current with laws and regulations affecting the company’s operations.

Ensure that the organization complies with all relevant legal requirements.

Ensure the company meets the regulatory requirements for a listed company under ADX.

Contract Management:

Oversee the negotiation, drafting, and review of contracts, agreements, and legal documents.

Advise on contractual matters, risks, and terms.

Litigation and Dispute Resolution:

Manage all legal disputes, including litigation, arbitration, and settlement negotiations

Collaborate with external legal counsel when necessary.

Corporate Governance:

Ensure compliance with corporate governance requirements.

Manage board meetings, corporate records, and filings.

Mergers and Acquisitions (M&A):

Provide legal expertise and due diligence support for M&A activities.

Draft and negotiate M&A agreements.

Risk Management:

Identify and assess legal risks and develop strategies for risk mitigation.

Establish and implement risk management policies and procedures.

Ethics and Compliance Programs:

Develop and oversee ethics and compliance programs.

Promote a culture of ethics and integrity throughout the organization.

External: Law Firms & Investors

Minimum Qualifications:

Minimum of 15-20 years of legal experience, with significant experience in leadership or executive role.

Strong knowledge of [industry-specific regulations].

Proven track record of providing strategic legal counsel and successfully managing legal departments.

Excellent negotiation, communication, and leadership skills.

Exceptional analytical and problem-solving abilities.

High ethical standards and integrity.

Minimum Experience: Strong knowledge of manufacturing industry / related industry.

Proven track record of providing strategic legal counsel and successfully managing legal departments.

Ability to work independently and as part of a team.

Ability to manage multiple projects simultaneously.
