We are seeking a strategic and experienced General Counsel to join the executive leadership team and provide high-level legal guidance across all aspects of the organization. Accountabilities
- Serve as chief legal advisor to the CEO and executive leadership, providing practical, business-oriented guidance on commercial strategy, regulatory compliance, and enterprise risk.
- Lead the development and implementation of legal infrastructure, including contract templates, governance practices, compliance frameworks, and risk management standards.
- Oversee commercial contracting, including drafting, reviewing, and negotiating complex agreements across vendors, technology, logistics, and strategic partnerships.
- Manage corporate governance, Board decision support, preparation of resolutions, and maintenance of corporate records.
- Identify, assess, and mitigate enterprise-wide legal risks related to e-commerce operations, data privacy, employment practices, and regulatory compliance.
- Direct litigation and dispute resolution strategies, including oversight of outside counsel and legal spend management.
- Provide legal guidance on employment and labor matters, policies, investigations, and terminations, in collaboration with outside employment counsel.
- Develop and maintain internal policies, training programs, and ethical standards to ensure regulatory compliance and consistent business practices.
- Select, manage, and evaluate external legal advisors to complement internal capabilities.
- Represent the organization with regulators, investors, auditors, lenders, and insurers on legal and compliance matters.
Requirements
- Juris Doctor (JD) degree and admission to practice law in at least one U.S. jurisdiction.
- Minimum 10 years of progressively responsible legal experience, including both law firm and in-house counsel roles.
- Proven experience advising senior executives on corporate governance, regulatory compliance, and enterprise risk management.
- Expertise in structuring, drafting, and negotiating complex commercial agreements.
- Experience managing litigation and coordinating with outside counsel.
- Experience in private equity-backed or high-growth organizations preferred.
- Experience building or scaling an in-house legal function is a plus.
- Strong strategic thinking, problem-solving, communication, and leadership skills.
