Role: General Counsel, Public Markets & Special Situations
We’re looking for a true legal operator — someone who knows how to execute, not just advise. You’ll work directly with the founder and investment team to build the legal engine behind a live, NASDAQ-listed public acquisition vehicle. From PIPEs to Super 8-Ks, from asset deals to charter design — you'll be in the seat, not on the sidelines.
This is a transactional role inside a live platform — not a traditional in-house legal job.
What You'll Do:
- Work alongside our investment team to run legal due diligence on distressed and special situations transactions (AI, crypto infra, media, software)
- Draft and structure PIPEs, asset purchase agreements, RTOs, and charter amendments
- Own and file all SEC filings: 8-Ks, Super 8-Ks, Form 14C, governance docs
- Coordinate external counsel only when necessary — you run the deal, not them
- Work as part of the investment team throughout the entire deal process, not just the “legal parts”
We’re Looking for People Who Are:
- 5–10+ years in U.S. capital markets or M&A law (top-tier firm or publicco in-house)
- Must have public company experience. Deeply familiar with IPOs, RTOs, PIPEs, Super 8-Ks, S-1/S-4 mechanics
- Experienced in legal due diligence and structuring of complex, cross-border or special situations deals
- Able to draft and execute — this is not a review role
- Comfortable operating lean, fast, and accurately
- Hungry to make impact and work long hours across different timezones
