The Fund Legal Department is in charge of company secretarial tasks, internal control and corporate governance for the Cayman Islands domiciled subsidiaries of NBL as well as monitoring of the legislations and regulations applicable to our business activities. The Fund Legal Department is also responsible for the legal work in relation to the set-up, restructuring and liquidation of investment funds & chief domiciled in the Cayman Islands) administered by NBL.

 

In order to support the department, we are looking for a legal officer on a permanent contract.

 

Your main tasks will be:

 

  • Organize the board and shareholders’ meeting our two Cayman subsidiaries (GFTC/MTC),  Ensure the related documentation is collected, drafted, shared, signed and registered appropriately

  • Coordinate and liaise with the team and lawyers for the execution and delivery of legal documents

  • Draft and review GFTC/MTC’s corporate governance policies and procedures. Control NBL polices applicable to GFTC/MTC. 

  • Draft various regulatory reporting to Cayman authorities.

  • Conduct the risk assessment of the third-party service providers (e.g. external law firms)

  • Deal with various invoices from the third parties.

  • Assist the team to perform certain fund projects (setting up, restructuring and termination of funds).

  • Safekeeping of original documents and database maintenance

 

 

Job requirements:

 

  • Studies in Law (preferably in European/Luxembourg and/or in a common law jurisdiction). Bar admission is a plus

  • First experience in a corporate or legal environment, preferably within the banking or fund industry

  • Familiar with laws and regulations applicable for global financial institutions

  • General knowledge of company secretary functions for companies and internal control

  • A keen interest in offshore jurisdictions, with a specific focus on Cayman Islands fund structures.

  • Very good level of English. In particular, advanced English writing skill is essential

  • Good legal drafting and analytical skills; attention to details,

  • Strong organizational and time-management skills, with a track record of meeting strict deadlines

  • Sound judgment in compliance with laws and regulations as well as common sense and commercial reasonability

  • Proactive with stress resilience and hands-on approach

  • Good communication skills in English (French is a plus), open-mindedness, and flexibility to adapt to an international and multicultural office environment
