About the Role

The Fractional General Counsel will serve as the Company’s senior legal advisor and strategic business partner, providing experienced legal guidance across corporate, commercial, employment, regulatory, risk management, and operational matters.

This role is designed for a growing organization that needs senior-level legal expertise without the immediate need for a full-time General Counsel. The Fractional General Counsel will work closely with the CEO, executive leadership, Human Resources, Finance, Sales, Operations, and other departments to proactively identify and mitigate legal and business risks while enabling the Company to move quickly and responsibly.

The ideal candidate is a pragmatic, commercially minded attorney who can balance legal risk with business objectives. This person should be comfortable operating in a fast-paced, growth-oriented environment and should know when to handle matters internally versus engaging outside counsel.

What You Will Do:Corporate & General Legal

  • Serve as the Company’s primary legal advisor on day-to-day business matters.
  • Advise the CEO and executive leadership team on legal risks, opportunities, and strategic initiatives.
  • Draft, review, negotiate, and manage corporate agreements and legal documents.
  • Maintain and oversee the Company’s contract management processes.
  • Develop and maintain standard agreements, templates, policies, and legal playbooks.
  • Advise leadership on corporate governance and organizational matters.
  • Coordinate with outside counsel when specialized legal expertise is required.
  • Monitor changes in applicable laws and regulations that may impact the business.

Commercial & Contractual Matters

  • Review and negotiate customer, vendor, supplier, partner, consultant, and other commercial agreements.
  • Support Sales and Operations in structuring customer and vendor relationships.
  • Develop appropriate contract terms, risk allocation provisions, indemnification language, limitation-of-liability provisions, and other key protections.
  • Establish appropriate approval processes for contracts and non-standard terms.
  • Identify contractual risks and provide practical recommendations to business leaders.
  • Help streamline contracting processes to support efficient business growth.

Employment & HR Legal Support

  • Partner with Human Resources and leadership on employment-related legal matters.
  • Advise on employment agreements, offer letters, policies, employee relations, disciplinary actions, leaves of absence, terminations, and workplace investigations.
  • Provide guidance regarding wage and hour, employee classification, restrictive covenants, confidentiality, and other employment-law matters.
  • Assist with compliance related to federal, state, and local employment requirements.
  • Coordinate with employment counsel when litigation or specialized legal advice is required.

Regulatory & Compliance

  • Monitor legal and regulatory requirements applicable to the Company’s operations.
  • Develop and maintain compliance programs appropriate for the Company’s size and risk profile.
  • Partner with Operations and leadership to identify regulatory requirements and operational risks.
  • Advise on licensing, permitting, consumer protection, advertising, privacy, data protection, and other regulatory matters applicable to the business.
  • Support internal audits and compliance reviews as appropriate.

Risk Management & Litigation

  • Identify, assess, and proactively mitigate legal and business risks.
  • Manage relationships with outside litigation and specialty counsel.
  • Oversee threatened and actual claims, disputes, demand letters, and litigation.
  • Assist leadership in developing strategies for resolving disputes efficiently and cost-effectively.
  • Review insurance coverage and coordinate with insurance brokers and carriers as appropriate.
  • Maintain appropriate documentation and legal records.

Corporate Governance & Strategic Initiatives

  • Advise the executive team and Board, as applicable, on corporate governance matters.
  • Support mergers, acquisitions, investments, financing activities, reorganizations, and other strategic transactions.
  • Assist with due diligence and legal integration activities.
  • Review legal considerations associated with new products, markets, business lines, partnerships, and strategic initiatives.
  • Provide legal input during major business decisions and organizational changes.

Legal Operations

  • Establish scalable legal processes appropriate for a growing company.
  • Develop contract review and approval workflows.
  • Maintain a centralized repository of legal agreements and corporate records.
  • Establish guidelines for when business teams should involve Legal.
  • Manage outside counsel relationships and legal spend.
  • Identify opportunities to reduce legal costs through standardization, technology, and process improvement.
  • Provide periodic reporting to executive leadership regarding material legal risks and open matters.

QualificationsRequired

  • Juris Doctor (J.D.) from an accredited law school.
  • Active license to practice law in at least one U.S. jurisdiction.
  • 8+ years of relevant legal experience, preferably including in-house experience.
  • Experience advising businesses on commercial and corporate legal matters.
  • Strong contract drafting and negotiation skills.
  • Experience working directly with executive leadership.
  • Strong understanding of employment and general business law.
  • Excellent written and verbal communication skills.
  • Strong business judgment and ability to translate complex legal issues into practical recommendations.
  • Ability to operate independently with minimal supervision.

Preferred

  • Prior General Counsel, Deputy General Counsel, or senior in-house counsel experience.
  • Experience supporting a high-growth company or startup.
  • Experience in the renewable energy, construction, clean technology, technology, or other regulated industries.
  • Experience managing outside counsel and legal budgets.
  • Experience with corporate transactions, fundraising, M&A, or private equity.
  • Experience developing legal infrastructure for a scaling organization.
  • Familiarity with multi-state operations and employment compliance.
  • Experience working with boards of directors and investors.
