Corporate Counsel

Position Summary:
The in-house Corporate Counsel will be responsible for providing legal advice and strategic guidance on a wide range of corporate matters, including contract negotiation and drafting, intellectual property, mergers and acquisitions, and ensuring compliance with global legal and regulatory requirements. The Corporate Counsel will collaborate with leadership, internal teams, and external partners to manage legal risk, ensure compliance, and facilitate the company’s strategic goals. The ideal candidate will have expertise in corporate law, business operations, and contract negotiation, with the ability to think strategically and practically in a corporate setting. The ideal candidate will be a solution-oriented lawyer with experience in corporate law, M&A transactions, and will have a solid understanding of international law and cross-border operations.
Key Responsibilities:
Corporate Governance:
Provide legal support for corporate governance matters, including advising the executive team, and senior management on governance policies and procedures.
Ensure compliance with corporate governance regulations and best practices.
Contract Management:
Develop and maintain a contract system for all company contracts to include review and approval, filing system, expiration notifications, and cancellation procedures.
Draft, review, and negotiate a wide range of commercial contracts, including customer agreements, vendor contracts, service agreements, licensing agreements, and non-disclosure agreements.
Assist in the development of standard contract templates and internal policies regarding contract management.
Advise on contract disputes and work towards resolutions in collaboration with internal stakeholders.
Compliance and Regulatory Affairs:
Provide legal advice on compliance with applicable laws, regulations, and industry standards, including anti-corruption, anti-bribery, privacy laws, and data protection regulations.
Conduct legal risk assessments and manage regulatory compliance initiatives.
Stay current on changes in local, state, and federal regulations, as well as international laws affecting the business.
General Legal Support:
Provide ongoing legal advice and support to various departments, including HR, finance, sales, and operations.
Along with the Chief HR and Legal Officer, manage and oversee any litigation or dispute resolution processes, collaborating with external counsel as necessary.
Assist with the management of intellectual property matters, including trademarks, patents, and copyrights.
Help resolve legal issues related to employment law, real estate, and business transactions.
Develop and maintain an internal system for intellectual property (IP), monitor deadlines and advise senior leadership of upcoming deadlines and expiration dates.
Mergers & Acquisitions:
Provide legal support for M&A transactions, including conducting due diligence, assisting with transaction structure, drafting and negotiating deal documents, and managing integration.
Work closely with senior leadership and external advisors to manage risk and structure deals that align with corporate strategy.
Advise on regulatory filings and antitrust issues related to M&A activities.
Risk Management:
Work closely with senior management to identify potential legal risks and develop strategies to mitigate those risks.
Provide legal guidance on strategic business initiatives and help ensure business activities comply with relevant laws.
Global Legal Affairs:
Advise on international legal issues related to global operations, including cross-border transactions, international trade, and compliance with foreign laws and regulations.
Ensure that the company’s global operations comply with legal requirements in various jurisdictions, including data protection and privacy laws.
Collaborate with local counsel in various jurisdictions as needed.
Training and Policies:
Develop and conduct training programs on legal and regulatory compliance for employees as needed.
Help develop internal policies and procedures, ensuring they are consistent with legal requirements and industry best practices.
Other Duties as Assigned:
Stay informed of emerging legal trends and regulatory changes that may impact the company.
Contribute to the development of the company’s legal strategies and initiatives.
Assist with other legal matters as required by the business.
Qualifications:
Education: Juris Doctor (JD) from an accredited law school.
Licensure: Active license to practice law in any US state.
Experience:
7-10 years of experience as a corporate counsel or in-house attorney, preferably in a corporate or business setting
1-3 years of experience as associate in a firm is preferred
In-depth knowledge and strong experience in corporate contracts and negotiation, compliance, commercial law, and corporate governance.
Strong experience in contract negotiation, corporate governance, compliance, and general corporate law
Experience in managing external counsel
Experience with M&A and business transactions
International law experience, with a focus on cross-border transactions and global regulatory compliance a definite plus
Experience with technology licensing, intellectual property, and data privacy issues is a plus
Skills:
Excellent written and verbal communication skills, with the ability to simplify complex legal issues for non-legal stakeholders
Strong negotiation, drafting, and contract management skills
Ability to work independently and manage multiple projects while maintaining attention to detail
Strong business acumen and the ability to collaborate effectively across departments
High level of professionalism, ethics, and discretion in handling confidential matters
