JOB PURPOSE

To manage, oversee, review, negotiate and advise on legal aspects of finance and debt matters relating to OIA and its affiliates and provide comprehensive legal support in order to protect OIA’s interests.

ROLES AND RESPONSIBILITIES

  • Develop the legal team’s strategy and oversee its implementation throughout the function and its operations to ensure alignment with other functional strategies across the OIA group.
  • Manage members of the legal team through effective recruitment, development, oversight and succession planning, in order to maximize team performance and achieve departmental objectives.
  • Manage the legal team’s daily operations by providing expertise, enabling teamwork and aligning processes, in order to achieve high performance standards and meet established targets.
  • Manage the application of the legal team budget within the scope of the finance and debt management function and monitor expenditures versus the relevant budget.
  • Prepare and provide legal advice and review, analyze, draft and negotiate transactional documents.
  • Provide legal assessment, interpretation, recommendations and representation to other members of OIA on finance and debt transactions, investment transactions, vendor service contracts, joint venture agreements, asset management, third party outsourcing contracts, etc. to ensure OIA’s interests are protected.
  • Act as a focal point in dealing with external lawyers by selecting and recommending appointment of all external legal counsel, managing and coordinating the use of their services to ensure effective management of legal costs within agreed technical and cost parameters as the same relates to debt finance matters.
  • Advise the Debt Management Office of the Ministry of Finance when required on legal aspects of government debt matters.
  • Assist in the development of the overall legal framework for OIA and its subsidiaries, in line with existing local regulations, Royal Decrees, government policies and Ministerial orders to ensure compliance with relevant policies and procedures.
  • Develop and execute appropriate legal strategies and solutions to ensure implementation of OIA’s commercial objectives in debt finance matters including those related to OIA’s subsidiaries.
  • Identify legal issues and propose alternatives and recommend solutions to achieve OIA’s objectives and minimize legal risk.
  • Oversee legal aspect of transactions carried out by OIA and its affiliates from structuring to due diligence to execution.
  • Update management and concerned employees on any relevant developments in applicable laws or regulations in Oman or other applicable jurisdictions.
  • Provide analyses to OIA senior management and business and treasury units on legal issues relating to debt finance matters involving OIA or its subsidiaries whether arising in Oman or in international jurisdictions.
  • Organize files and develop a filing system to ensure the safe custody of all legal documents and agreements are held at an appropriate safe location.
  • Compile standard OIA template documents to streamline the related processes and reduce legal risks.
  • Comply with the implementation of departmental policies and procedures to ensure that all relevant procedural and legislative requirements are fulfilled.
  • Comply with all relevant health, safety and quality requirements, in order to guarantee employee safety and legislative compliance.Continuous Improvement
  • Contribute to the identification of opportunities for continuous improvement of systems, processes and practices taking into account ‘leading best practices’, improvement of business processes, cost reduction and productivity improvement.

Educational Qualifications

University or graduate level degree in law or equivalent.

Professional Qualifications

Membership or qualification in a recognized legal society or bar association required.
