Job Title
Equity Capital Markets Counsel
Responsibilities
- Provide legal and regulatory support on IPOs and equity capital markets transactions led by the bank.
- Advise internal deal teams on structuring, documentation, and compliance with securities laws and stock exchange requirements.
- Draft, review, and negotiate prospectuses, underwriting agreements, and transaction-related documentation.
- Collaborate with internal teams, clients, and external parties to ensure smooth execution of transactions and compliance with legal and regulatory requirements.
Qualifications
- 5+ years of experience in equity capital markets, securities law, or related corporate finance practices.
- Strong knowledge of SEC regulations, bond offerings, covenant structures, and credit rating considerations.
- Minimum of 3 years PQE as a Equity Capital Markets (IPO), preferably with a reputable law firm or financial institution.
- In-depth knowledge of IPO processes, equity offerings, and capital markets transactions.
- Familiarity with Canadian listing rules and relevant laws and regulations.
- Excellent communication and interpersonal skills to effectively collaborate with clients and internal teams.
Compensation
The estimated total compensation for full-time Axiom attorney roles ranges from $104,500 to $325,000 per year and for non‑attorney roles from $71,250 to $309,750 per year. Compensation decisions are based on experience, skills, certifications, location, and business needs.
