Watts & Associates is working discreetly with a highly regarded Am Law 100 national law firm seeking a 3rd to 5th year Entrepreneurial Ventures Associate to join its New York NY office on a hybrid basis.
This is a fully transactional corporate role advising venture capital investors and emerging growth companies across the company lifecycle, including formation, early stage financing, later stage financing and strategic corporate matters.
The platform offers a sophisticated national corporate practice, a collaborative and partner led environment, consistent client matter flow and opportunities to work closely with colleagues across complementary corporate disciplines.
The Opportunity
You will support venture financings and general corporate matters, taking an active role in drafting and negotiating deal documents, coordinating diligence and closings, and advising founders and investors on practical, business minded corporate solutions. Exposure to technology, artificial intelligence or life sciences matters would be helpful, but is not required.
Ideal Candidate Profile
The firm is seeking a 3rd to 5th year Entrepreneurial Ventures Associate with:
- 3 to 5 years of meaningful venture capital and emerging companies experience within a corporate transactional practice
- Experience advising on preferred stock financings and related private company corporate matters
- Working knowledge of NVCA model documents and current market terms in venture financings
- Strong drafting, negotiation and transaction management skills across equity financings and corporate governance documentation
- Sound judgment, attention to detail and the ability to manage multiple matters and deadlines in a deal driven environment
- New York Bar admission preferred

Compensation
The anticipated salary range for this role is USD 225,000 to 420,000, depending on class year, experience and other relevant factors.
