Gouchev Law is a boutique technology law firm based in New York City. We serve as outside counsel to enterprise legal teams and as general counsel to emerging and mid-market businesses across the country.
This role is for a law firm-trained attorney who enjoys working with startups and mid-market clients across corporate transactions, specifically capital raises, leading M&A deals, vendor and client agreements, contract disputes, and AI-related business issues.
The right candidate has at least 6 years of recent law firm experience, client-facing judgment, and the ability to manage multiple external client matters in a fast-moving boutique practice.
The Role
You’ll work directly with clients on corporate governance, founder and shareholder matters, investment capital raises, lead acquisitions from LOI to close, negotiate operating agreements, shareholder agreements, various commercial contracts, partner buy-outs, disputes and additional general outside counsel daily support.
You’ll also support matters involving AI tools, data use, IP ownership, and commercial risk.
The ideal candidate can move comfortably between corporate documents, commercial agreements, client advisory work, and transaction support. You should be able to keep matters organized, communicate clearly, and help clients understand legal risk in commercial terms.
Who You Are
- Active bar license in good standing in at least one U.S. jurisdiction, New York bar preferred
- JD from a U.S. accredited law school
- 7+ years of recent law firm experience in corporate, emerging companies, commercial contracts, M&A, and investment capital raises
- Strong drafting and negotiation skills across corporate documents, commercial agreements, terms of use, privacy policies, investment documents, and demand letters
- Experience with debt and equity financings, as well as stock options
- Existing book of business or demonstrated business development ability preferred, but not required

Location
This role is fully remote, but candidates must be able to travel to New York City for occasional in-person team meetings, client meetings, and firm events. NY metro area candidates are preferred. Candidates in nearby markets with easy access to NYC will be considered.

Compensation depends on experience. Candidates who bring a meaningful book of business or originate new client work will be eligible for increased compensation tied to that business.
