Position Title: Risk & Contracts Specialist
Division: Contracts & Compliance
Department: General Counsel
Reports to: General Counsel
FLSA Status: Regular, Hourly, Non-Exempt

Position Summary
The Risk & Contracts Specialist will provide daily support and internal coordination of contract drafting, negotiation and execution processes by communicating and collaborating with internal contract owners throughout the organization. The role will also assist the General Counsel in analyzing and identifying potential risks in data, contractual relationships, and processes throughout the organization, and assessing mitigations and risk control measures including process changes and insurance or other risk treatments. In addition, the Contracts Coordinator will ensure all historical and current internal legal, risk, governance, and contract documentation is digitized and available through electronic means. This position will work closely with the General Counsel and will also work closely with contract owners throughout the organization.

Essential Duties & Responsibilities

Act as the primary liaison for the internal contracting process, beginning with identifying a contract partner, drafting agreements and moving through the contract life-cycle
Periodically review and update, the process through which internal stakeholders can create and get assistance with the contracting process and create a fully formed document to share with external partners
Ensure that vendors and external liabilities are managed through contracting as well as other assessment processes, and assist internal contract owners in ensuring that contractual requirements are met throughout a contract lifecycle
Revise and implement a database of all legal, risk, governance, and contractual information (current, past and future) to ensure the ability to find information when it is needed
Review and digitize archived contracts and other legal, risk, and governance documentation, and add it to the comprehensive database
Act as internal resource for contract questions, issues, and negotiation guidance for internal team members
Participate in and assist the General Counsel with internal risk assessment processes, governance documentation management, and insurance review processes
Proactively assist with risk management through ongoing assessment, analysis, and mitigation recommendations, alongside the General Counsel
Other duties as assigned.

Position Requirements: Knowledge, Skills, Abilities

Knowledge of:

Best practices related to contract drafting, negotiation, and legal, governance, risk, and contractual document management
An understanding of common insurance clauses and contractual requirements
Microsoft Office suite, especially Word, and PDF editing tools

Skills:

Excellent attention to detail
Highly effective verbal and written communication
Excellent time management and organization
Work effectively and respectfully with people from different cultural backgrounds and at different levels of the organization
Excellent customer service skills; be approachable and use welcoming body language and demeanor

Ability to:

Research and understand regulations and legal requirements that may affect contracts
Develop and implement vendor management and contracting procedures for the organization
Coordinate with internal contract owners to assist with the development of new contracts and negotiation with third parties
Take initiative and act independently, but also work collaboratively with a team
Quickly learn and apply policies and procedures

Qualifications

1-2 years experience in document management and contractual processes
Ability to prioritize and manage multiple ongoing communications and projects simultaneously
Demonstrated experience with document management and detail-oriented project work
Strong written and verbal communication skills

Physical Demands & Working Conditions
The hours for this role will be typical daytime business hours during the days of Monday through Friday. While performing the required duties of this role, the employee will generally remain at a workstation throughout the duration of the shift. The role requires communication via phone and computer for both internal and external audiences.

Compensation
Pay is based on several factors, including market location, job-related knowledge, skills, and years of experience.
Starting Base Salary Range: $27.47 – 30.29
In addition to base salary, regular employees working 40 hrs/week can expect the following benefits:
