Position Overview:

We are looking for an experienced Corporate Attorney to provide legal counsel and guidance on a variety of corporate matters. The successful candidate will play a pivotal role in ensuring the company’s business practices align with legal regulations, mitigating risks, and supporting the growth of the organization through strategic legal advice. The Corporate Attorney will collaborate with cross-functional teams to assist with mergers and acquisitions, corporate governance, compliance, , and more.

Key Responsibilities:

Provide legal counsel on a wide range of corporate legal issues, including mergers and acquisitions, corporate governance, securities law, , and employment law.
Draft, , including joint ventures, shareholder agreements, and commercial contracts.
Advise the executive team and business leaders on legal implications of key business decisions and strategic initiatives.
Ensure compliance with local, state, and federal regulations and industry-specific laws.
Represent the company in corporate governance matters, including advising on board meetings, shareholder relations, and corporate filings.
and provide legal support for acquisitions, investments, and other corporate transactions.
Manage outside counsel for specific legal matters and provide oversight of their work.
Stay updated on relevant legal developments, regulations, and industry trends to ensure proactive legal strategies.
Develop and implement company-wide legal policies and procedures.
Assist in risk management and crisis management efforts when necessary.

Qualifications:

Juris Doctor (JD) degree from an accredited law school.
Active license to practice law in in the state of California or Houston Texas
Minimum of 5 years of experience as a corporate attorney, with a strong focus on corporate law, mergers and acquisitions, and business transactions.
In-depth understanding of corporate governance, securities law, and compliance regulations.
Proven ability to provide strategic legal advice in a fast-paced business environment.

Strong negotiation, drafting, and communication skills.

Exceptional analytical and problem-solving skills, with the ability to assess and mitigate risks.
Ability to work both independently and as part of a team.
Strong organizational skills and attention to detail.

Preferred Qualifications:

Experience in the business industry of law , and global background checks, investigations
Knowledge of international business laws and regulations.
Experience working in-house at a corporation or within a legal department.
