Designation: Counsel – Legal & Compliance

Reporting to: Head, Legal, Compliance and Technology

Responsibilities:

Draft, review, and provide guidance on various contracts and legal documents, including capital and debt instruments, M&A agreements, ancillary contracts, and securities-related materials.

Stay informed on corporate governance and regulatory compliance requirements, providing advice on MAS rules and AML/CFT regulations.

Offer legal and transactional support for projects, mergers and acquisitions, partnerships, and other strategic deals.

Handle legal proceedings and disputes, delivering preliminary advice, facilitating mediation, and overseeing settlement negotiations.

Manage external counsel engagements, ensuring alignment with budget expectations and obtaining expert legal opinions.

Design and implement internal policies and procedures to mitigate legal, contractual, and regulatory compliance risks.

Educate and train colleagues on legal and regulatory matters to promote awareness and compliance.

Utilise legal and contract-processing technology platforms and solutions effectively in operational roles.

Qualifications:

Recognized Law degree

5 to 10 years of corporate and transactional experience, with expertise in securities, equity markets, and compliance with securities regulations.

Proficiency in legal technology platforms.

Strong communication and stakeholder management skills

Ability to exercise judgment and discretion regarding legal matters

A hands-on self-starter with the ability to work collaboratively in a dynamic environment
