Our client is one of the largest and most respected corporate practices in Ireland, advising a broad range of clients including public and private companies and State bodies across a wide range of sectors. The team is currently advising on a wide range of high-value corporate transactions alongside related commercial and advisory mandates, with a distinctive mix of work — including public sector engagement — that isn't typically found in other large firm corporate teams in Dublin.
The Role
You'll join a team assisting Corporate Partners on transactions and commercial contracts work, with genuine opportunity to build deep, trusted relationships with clients over time. The work is leading-edge and often high order, with clients requiring close engagement from their lawyers given the critical nature of the advice. This is a supportive team environment geared towards long-term client relationships rather than purely transactional turnover.
Key responsibilities will include:
- Assisting on private and public sector corporate transactions, including running/managing due diligence exercises and preparing due diligence reports
- Drafting and negotiating key transaction agreements (SPAs, APAs, etc.)
- Drafting and negotiating investment and shareholder/JV agreements
- Disclosure exercises and preparation/review of Disclosure Letters
- General corporate transaction work, including ancillary documentation (board minutes, resolutions) and coordination of completion
- Assisting on corporate reorganisations and restructurings across private and public sectors
- Drafting and negotiating commercial contracts, including public sector contracts alongside the procurement team
- Corporate/commercial advisory work and related legal research
- Contributing to business development initiatives and the department's knowledge management/CPD programme
About You
- Qualified solicitor, 2-3 years' PQE with a strong background in corporate practice and commercial contracts
- Experience advising public sector clients an advantage but not essential
- Excellent technical and drafting skills
- Strong legal research and analytical skills
- Strong commercial awareness and business acumen
- Excellent communication and interpersonal skills
- Strong project management skills, with the ability to work both collaboratively and on own initiative
