Position Overview
The Paralegal assists the General Counsel and other attorneys by maintaining corporate records, handling Board‑of‑Director matters, managing compliance documentation, preparing and reviewing contracts, and supporting various administrative functions. The role requires strong organizational, communication, and writing skills.
Responsibilities
- Process legal billings and accruals.
- Assist with Board‑of‑Director matters, including calendars, minutes, and written consents.
- Prepare and file Section 16 reports and obtain EDGAR codes with the Securities and Exchange Commission.
- Obtain and process applicable licenses and vendor due diligence.
- Review, prepare, and interpret legal contracts, letters of agreement, and related documents across business, product, financial, and operational areas.
- Coordinate legal due diligence and organize backup materials for compliance and contract matters.
- Compile, proofread, update, and maintain legal and compliance documents and records.
- Send mailings and support other administrative functions as needed.
- Assist in reviewing the company’s compliance with laws, regulations, and contractual obligations.
Other Functions
- Assist in developing, producing, and conducting legal and compliance training programs.
- Identify, analyze, and resolve compliance matters.
- Multi‑task, stay organized, and meet deadlines.
Basic Qualifications
- Five or more years of experience as a paralegal or executive assistant in legal, corporate compliance, or legal entity management.
- Notary Public qualification (or willingness to obtain).
Desired Qualities
- Experience working with C‑Suite executives and Board of Directors.
- Strong written report‑writing and business correspondence skills.
- Effective presentation abilities and responsiveness to inquiries from multiple departments.
- Detail‑oriented with a focus on meeting deadlines.
