We are looking for a proactive, detail-oriented Corporate Paralegal to support our corporate transactions attorneys. The ideal candidate will have experience with formations and filings for various entities, and providing general corporate maintenance for various types of companies (corporations, LLC’s, partnerships, etc.), interacting with governmental authorities to handle filings, and assisting attorneys with a broad range of transactions, including equity financings, mergers and acquisitions, and commercial contracts ranging from the most mundane to the most sophisticated. You will act as a liaison among attorneys, clients, internal teams, corporate services providers, and Secretaries of State, ensuring all corporate records are accurate, compliant, filed timely, and kept up to date, and you will participate in closing transactions, sending documents for electronic signatures, tracking progress, and creating processes to improve the corporate group’s practice.

The position offers the flexibility to work remotely from anywhere in the Continental United States or in person at one of our US-based offices.

Responsibilities include, but are not limited to:

  • Corporate Governance: Manage entity formation (LLCs, Corporations), prepare board resolutions, consents, meeting minutes, and maintain corporate minute books.

  • Transactions & M&A:
    Assist in M&A deals by drafting closing checklists, coordinating signatures, managing data rooms, and preparing digital closing binders.

  • Compliance:
    Oversee annual reports, qualifications to do business in foreign jurisdictions, and other regulatory filings with the Secretary of State.

  • Document Management:
    Draft and review basic corporate documents, including entity formation documents, non-disclosure agreements, operating agreements, stock transfer documents, and manage and update capitalization tables (in Excel, Carta, Pulley, etc.)

  • Technology Proficiency:
    Utilize entity management systems, e-signature tools (Adobe Sign), and legal document management systems to maintain records and create processes.


    Skills Requirements


  • Experience:
    A minimum of 2+ years of experience as a corporate paralegal in a law firm setting (experience with venture capital or startups is a plus).

  • Education:
    ABA-approved paralegal certificate and/or a Bachelor’s degree. A background in math, science, and chemistry, along with an interest in technology, will strengthen your application.

  • Compliance:
    Must meet California Business & Professions Code Section 6450 requirements.

  • Remote Work Skills:
    Proven ability to work independently in a fully virtual, deadline-driven environment.

  • Technical Skills:
    Advanced proficiency in Microsoft Office Suite (Word, Excel), AI tools, and document management systems.

  • Communication Skills
    : Must have strong written and oral communication skills, and the ability to communicate effectively with firm attorneys, co-workers, clients, government authorities, and corporate service providers.
  • Fluent in French is a plus, but not required.

  • Base salary range for this position is $80,000 – $120,000, commensurate with experience
