What You’ll Do
- Support M&A transactions, due diligence, and closings
- Form and manage entities across multiple jurisdictions
- Prepare governance documents, resolutions, and corporate records
- Handle UCC, SEC, EDGAR, Blue Sky, and other regulatory filings
- Partner with attorneys on complex corporate and compliance matters
What We’re Looking For
- 5+ years of corporate paralegal experience
- Strong corporate governance and entity management experience
- SEC/EDGAR filing experience is highly preferred
- Detail-oriented, organized, and proactive
- Bachelor’s Degree or Paralegal Certificate required

Pay: $90,000.00 – $130,000.00 per year

- Do you have at least 5 years of corporate paralegal experience, preferably within a law firm environment?
- Have you supported corporate transactions such as mergers and acquisitions, reorganizations, conversions, dissolutions, or due diligence processes?
- Do you have experience with SEC/EDGAR filings and other regulatory compliance matters such as Blue Sky, NFA, investment advisor, or broker-dealer filings?
- I confirm that I understand the following questions are used to evaluate my qualifications for this position and that I will answer all questions truthfully and accurately.
- Do you have experience handling corporate filings, including entity formations, UCC filings, out-of-state registrations, and multi-jurisdictional compliance filings?
- Do you have hands-on experience preparing and managing corporate governance documents, including operating agreements, bylaws, shareholder agreements, resolutions, and consents?
- Do you have direct experience with SEC/EDGAR filings?
- Will you be able to reliably commute to Chicago, IL for this job?
