A growing investment and entertainment company is seeking a highly skilled and detail-oriented Corporate Paralegal to join their legal team and play a key role in supporting corporate governance, transactions, and compliance functions. This position will support both an investment firm and a global content studio, managing critical legal processes that contribute to the company’s ongoing success.

Key Responsibilities

Maintain and organize corporate records, including entity formations, governance documents, board resolutions, and shareholder agreements.

Oversee capitalization tables, director and officer records, beneficial ownership filings, and other corporate compliance requirements.

Coordinate the execution and tracking of key legal documents, ensuring accuracy and compliance with regulatory requirements.

Support the drafting and negotiation of contracts, including NDAs, consulting agreements, and corporate governance materials.

Assist with corporate transactions, including due diligence, document management, and closing processes.

Track and manage legal deadlines, ensuring timely filings and compliance with relevant regulations.

Serve as a resource for internal teams and portfolio companies on corporate governance and regulatory matters.

Handle KYC requests and beneficial ownership documentation as needed.

Collaborate with internal and external legal teams to maintain compliance with company policies and legal obligations.

Assist with additional legal projects and initiatives as required.

Qualifications & Skills

Minimum 6+ years of experience as a corporate paralegal in a law firm or corporate legal department, preferably within investment, media, or content production industries.

Strong understanding of corporate governance, entity management, and regulatory compliance.

Excellent attention to detail, organizational skills, and the ability to manage multiple priorities in a fast-paced environment.

Effective communication skills, with the ability to interact with internal teams and external stakeholders professionally.

Experience handling corporate transactions, due diligence, and contract preparation.

Proficiency with legal management tools, databases, and document management systems.

Bachelor’s degree in a related field preferred; paralegal certification is a plus.

Compensation

$50 – $65/hr. depending on relevant experience.

This role is

based in the South Bay

, with an expectation of in-office work

at least four days per week.
