**Temp to Perm Role**
Our client, a Fintech company based in Midtown, NYC, is seeking a Corporate Governance Lead to support their Deputy General Counsel. This candidate should have a minimum of seven years of relevant experience, with at least two years at a publicly traded company. The ideal candidate must have demonstrated expertise in managing the annual corporate governance calendar, ensuring full compliance with SEC, NASDAQ, and other regulatory filing requirements. Experience with subsidiary management, including proxy materials and coordinating the Annual Shareholders Meeting, is essential. The role requires handling Section 16 filings (Forms 3, 4, and 5) and overseeing the preparation of the annual proxy statement. The candidate should also have experience scheduling and managing board and committee meetings, as well as ensuring compliance across domestic and international subsidiaries. Familiarity with preparing director and officer questionnaires and maintaining NASDAQ compliance filings is necessary. Additionally, the role will involve regular coordination with external auditors to support governance-related disclosures and processes.
Responsibilities include:
Lead governance and regulatory compliance by managing the annual corporate governance calendar, SEC and NASDAQ filings, Section 16 reporting, and subsidiary compliance.
Prepare board and committee meeting materials and coordinate logistics, while organizing the Annual Shareholders Meeting and related documentation.
Support quarterly audits and SEC filings in coordination with external auditors, and manage the company’s securities trading policy and blackout calendar.
Requirements:
Bachelor’s degree
At least 7 years of professional experience, including a minimum of 2 years as a corporate paralegal within the in-house legal team of a publicly traded company.
Strong proficiency in Microsoft Office Suite, including Word, Excel, PowerPoint, and Outlook.
Excellent organizational skills and high attention to detail, with proven experience maintaining and managing legal filing systems.
Effective verbal and written communication skills, with the ability to interact professionally at all levels.
