OVERVIEW
The Corporate Paralegal will be assigned to the corporate legal department and will be primarily responsible for preparing and maintaining corporate minute books and assisting in-house counsel in corporate and other transactions.
Responsibilities include:
Preparing corporate legal documents such as articles of incorporation or organization, bylaws, operating agreements, resolutions, mergers, stock and asset transfer documents, and requests for EIN.
Updating and maintaining an entity management system for managing minute book records and vital company information for multiple entities.
Filing annual reports of the company’s U.S. subsidiaries to maintain registration in their respective states.
Providing transactional support for acquisitions, financing arrangements, and other transactions.
Organizing and maintaining transaction documents.
Organizing and maintaining employee benefit plans and summaries.
Tracking and assisting with company registrations, permits, and licenses renewals.
Analyzing, researching, and responding to KYC/AML requests and ownership analysis.
Supporting in-house counsel and other legal team members as needed.
EXPERIENCE REQUIREMENTS
Minimum five years of experience as a corporate paralegal, either in a law firm or corporate legal department.
Knowledge of corporate law, rules & regulations, and governance.
Proficiency in Microsoft Office Suite; familiarity with entity management systems is a plus. Knowledge of iManage or other matter management systems is helpful.
Bilingual (Spanish) skills are a plus but not required.
Proactive, organized, and able to work independently with minimal supervision.
Ability to meet tight deadlines and work independently.
Strong understanding of legal terminology, contracts, and policies.
Excellent interpersonal and communication skills at all organizational levels.
