Salary: $72K – $84K

Schedule: Full-time, with occasional overtime and travel as needed
Position Overview
The Corporate Paralegal will support attorneys in corporate transactions, including document preparation, due diligence, regulatory filings, and closing coordination. This role requires strong organizational skills, attention to detail, and the ability to manage multiple priorities in a fast-paced legal environment.
Key Responsibilities
Corporate Filings & Compliance
Prepare formation, amendment, and dissolution documents for corporations, LLCs, LPs, and LLPs.
Draft and file annual reports and UCC financing statements.
Conduct UCC searches, analyze results, and compile reports.
Assist with obtaining EINs and IRS filings.
Transactional & Due Diligence Support
Organize, review, and manage closing documents and signature packets.
Assist in compiling commitment letters, subscription agreements, and side letters.
Prepare stock certificates and closing binders (digital and hard copies).
Coordinate document execution via DocuSign and assist with notary services if commissioned.
Research & Administrative Tasks
Verify corporate status and regulatory compliance across jurisdictions.
Communicate with external vendors for filings and invoice processing.
Proofread and redline legal documents, reports, and correspondence.
Support attorneys at corporate closings and assist with document distribution.
Qualifications
Bachelor’s degree required.
2+ years of corporate paralegal experience in a professional setting.
Proficiency in Microsoft Office Suite, Adobe Acrobat, and Excel.
Strong attention to detail, organizational skills, and ability to multitask.
Ability to lift up to 20 lbs. and work occasional overtime as needed.
Must live within commuting distance of the office.
