As part of our development, we are strengthening our team in the Luxembourg office, which provides central administration and corporate secretarial services to the group and its managed funds.
We are looking for a Corporate Officer to support our growing operations.
Main Responsibilities
– Administration of Luxembourg based SPVs, private equity investment funds and companies, acting as general partners of the funds, from their incorporation to liquidation;
– Organisation of board meetings, AGMs and EGMs;
– Preparation of board minutes, shareholders resolutions and board packs via the Board Intelligence app;
– Constant liaison with Access’ internal teams (middle office, financial controller, legal and compliance, corporate, investment teams);
– Communication with external partners (corporate and accounting service providers, law firms, notaries, tax administration, banks, external directors, auditors);
– Coordinating and ensuring high quality of work to be delivered by service providers;
– Preparation, review and execution of various documents (agreements, letters, board minutes, etc.);
– Performance of AML/KYC tasks (preparation and renewal of KYC documents, structure charts, certifications, annual AED and CSSF surveys, AML/CFT trainings, etc.)
– Follow-up on invoices approval and payment process;
– Archiving of physical and electronic documents;
– Management of mail;
– Other administrative tasks.
Qualifications
– Graduate in business and/or corporate law or can demonstrate a first experience acquired on the job;
– Minimum 1-2 years post qualification experience in a similar position gained within a corporate/fund services provider, in-house or with a law firm in Luxembourg;
– Resourceful individual with demonstrated ability to work in an organized and productive way in a fast-paced environment;
– Ability to understand, prioritize, and act on requests received;
– Team player with the ability to also work independently;
– Excellent English and French language skills;
– Familiarity with Microsoft Office Pack and electronic signatures;
– Knowledge of Luxembourg corporate law and/or investment funds is an asset
