Corporate Secretary – Real Estate Investor – Luxembourg
Our client is a very well known and highly respected real estate investor with a well established office in Luxembourg that supports the wider European office network in the corporate governance of their European portfolio of assets. The business has an urgent need to recruit a corporate secretary with the following responsibilities:
Main Responsibilities:
Assist with the management of a portfolio of clients with all aspects of the corporate administration of domiciled companies;
Assist in convening board and shareholders’ meetings;
Prepare the minutes for the regular and standard board and shareholders’ meetings;
Liaise with local notaries and local authorities for legalisations / notarisations / apostilles as required;
Assist with execution of legal documentation
Assist with drafting of legal documentation for the approval of FS;
Assist the process for establishing new legal entities and liquidate / merge existing ones;
Co-ordinate the documentation process for establishing new legal entities and liquidating existing ones, as appropriate;
Assist in keeping the corporate files of the group entities up-to-date;
Assist with filing of all requisite filings with the Luxembourg Business Register as well as any other legal publications;
Backup for Admin Team;
Skills, Knowledge and Experience
You successfully passed an academic degree in law, finance or economics;
You have a minimum of 1-4 years of experience in a trust company in Luxembourg in a similar position;
You are fluent in English. Any other language is an asset (German, French, Spanish).
Excellent communication and organisational skills
You are autonomous and can hit the ground running
You have the intellectual capacity to grow within your role and the company.
