A law firm is seeking a Corporate (M&A) Associate Attorney to join their team in Chicago, IL. Duties and Responsibilities:
Handle private company mergers and acquisitions, including drafting, reviewing, and negotiating purchase agreements and other related transaction documents. Advise clients on corporate governance matters, including LLC and shareholder agreements. Assist with commercial contract drafting and negotiation, ensuring compliance with legal and business standards. Provide legal counsel to middle-market companies on general corporate matters, including structuring transactions and ongoing business operations. Collaborate with the firm’s legal team and clients to manage and execute corporate transactions.
Participate in private equity transactions and sophisticated M&A deals as needed. Assist with private securities offerings, including preparation of offering documents and compliance with securities regulations. Conduct due diligence for corporate transactions, identifying risks and advising clients on mitigation strategies. Maintain a strong understanding of relevant laws and regulations affecting corporate transactions. Requirements: 3-5 years of corporate transactional experience, particularly with mergers and acquisitions and general corporate matters.
Experience with
corporate governance, LLC/shareholder agreements, and commercial contracts. Familiarity with private equity and sophisticated M&A transactions is preferred.
Experience with
private securities offerings is a plus. Ability to work collaboratively within a team and handle multiple tasks in a

Education:
Juris Doctor (J.D.) degree from an accredited law school.
Certifications:
Licensed to practice law in the state of Illinois or the ability to obtain licensure in Illinois.
