Description
We are looking for an accomplished corporate and Mergers & Acquisitions transactional attorney to join a respected mid-sized law firm in Scottsdale, Arizona. This hybrid opportunity is suited for a lawyer who is confident handling sophisticated business matters, including deal documentation, transaction support, and corporate advisory work. The role offers the chance to work closely with clients and colleagues on complex legal matters involving commercial transactions, and business operations.
Responsibilities:
– Draft, review, and negotiate a broad range of agreements tied to corporate, commercial, and M& A transactions.
– Support mergers, acquisitions, and other strategic deals by organizing legal documentation and coordinating key transaction steps.
– Conduct due diligence reviews and evaluate findings to help clients make informed decisions before closing transactions.
– Advise public and private company clients on corporate matters, governance issues, and transaction-related legal risks.
– Take an active role in managing complex matters, including overseeing timelines, deliverables, and communication among stakeholders.
– Collaborate with attorneys, clients, and external parties to move transactions forward efficiently and resolve legal issues as they arise.
– Provide practical legal guidance during contract negotiations to help protect client interests and advance business objectives.
Requirements
– At least 8 years of experience practicing corporate or transactional law in a law firm or comparable legal environment.
– Active license to practice law in the State of Arizona.
– Demonstrated background preparing documents for mergers and acquisitions, and related corporate matters.
– Experience representing public and/or private companies in business transactions.
– Strong contract drafting, negotiation, analytical, and organizational skills.
– Excellent academic credentials and sound legal judgment.
– Ability to work effectively with both legal and non-legal professionals in a collaborative setting
