This Legal Manager manages the corporate legal affairs, including governance, compliance, mergers and acquisitions, securities, and contract management. The corporate Legal Manager will be a key advisor to senior management on legal strategies and business decisions.
Responsibilities
Provides accurate and timely counsel to other departments in a variety of legal topics such a labor law, partnerships, international ventures, corporate finance and many others.
Provide legal advice on managing the tender documents. Draft and solidify agreements, settlement agreements, contracts and other legal documents to ensure the company’s full legal rights.
Support the General Counsel to devise efficient defense strategies in construction legal cases both in litigation and arbitration. Provide legal analysis and advice on construction litigation and construction contract disputes.
Support external attorney in representing the Company in filing pleadings with the court/arbitration including answers and complaints. Coordinate with attorneys to draft and responds to Requests for Production of Documents.
Coordinate with external legal consultants to represent in the lawsuits/arbitration filed by or against the Company and grant necessary Power of Attorney, where applicable and necessary.
Negotiate disputes between the company, its subcontractors and main contractors, which could involve EOT claims, delay penalties/liquidation damage, payments, work conditions, projects deadlines, prolongation cost, and any contract disagreements.
Provide legal advice regarding liens, project bidding, property line disputes, and other general construction issues.
Draft and review various legal letters, documents such as agreements, sale, lease, mergers, acquisitions, POA’s (Power of Attorney), legal notices, release letters.
Conduct legal studies, research and analysis. Research latest law amendments, procedures and ministerial decrees and update the management.
Research and evaluate different risk factors regarding business decisions and operations. Apply effective risk management techniques and offer proactive advice on possible legal issues. Ensure that the risk of proceeding with the strategy is sufficiently addressed and allocated and that proper compliance and objective standards are achieved.
Commence negotiation for an agreement with a third party after obtaining written consent of the authorized officer.
Review and approve Standard Agreements from time to time in areas where the risks associated with the activity are low or quantifiable or the form of arrangement for the activity is of a routine nature.
Communicate and negotiate with external parties for example, external counsel, experts attorneys, public authority etc.
Draft, review, and negotiate a wide range of commercial contracts, including vendor agreements, customer contracts, and service agreements. Provide guidance on contract interpretation and dispute resolution. Develop and maintain a centralized contract management system.
Develop and implement legal compliance programs and ensure adherence to corporate policies, industry regulations, and statutory requirements. Provide training and guidance to employees on legal and compliance matters.
Qualifications
Bachelor’s Degree in Law
Any Post Graduate Certificate in Law, Business or Real Estate
10-15 Years of experience, out of which, 10 years’ experience practicing real estate law in Dubai, from a real estate company or reputable law firm.
Knowledge in Dubai and UAE laws, regulations, and the business environment.
Experience in listed real estate company
Knowledge of case management software and legal research tools specific to real estate law.
