Position Summary

 

Stonehenge is seeking a Corporate Counsel in either its Columbus, Ohio or Baton Rouge/New Orleans, Louisiana office to support its nationally recognized tax credit investment platform. This role offers broad exposure to sophisticated federal and state tax credit transactions, executive decision-making, and strategic business initiatives while partnering closely with the Company’s investment and executive leadership teams across renewable energy, historic rehabilitation, film, and other incentive programs.

The ideal candidate is an attorney with sound judgment, intellectual curiosity, and a business-first mindset who enjoys solving complex problems and building trusted relationships. Core Responsibilities:

 

Serve as a trusted legal and business advisor to the Company’s investment and executive leadership teams.

Structure, draft, negotiate, and support closing in a broad range of agreements, including letters of intent, confidentiality agreements, partnership operating agreements, purchase agreements, financing documents, and other transaction documents.

Support underwriting team with outside counsel on all legal aspects of sophisticated tax credit investment transactions from initial structuring through closing.

Partner with investment professionals to develop practical, business-oriented solutions while appropriately managing legal and commercial risk.

Lead legal due diligence, identify legal and regulatory risks, and develop strategies to mitigate those risks.

Manage outside counsel to ensure high-quality, efficient, and cost-effective legal representation.

 

Advise on corporate governance, regulatory compliance, and legal matters affecting the Company’s investment activities.

Support strategic initiatives and other legal matters across the organization as responsibilities expand.

Required Skills & Qualifications:

 

Juris Doctor (J.D.) from an accredited law school and admission to practice law in at least one U.S. jurisdiction.

5+ years of experience in tax credit, renewable energy, real estate, or related investment legal practice.

LLM in Taxation is preferred but not required.

Experience with tax credit finance, renewable energy, real estate, private equity, or structured finance is strongly preferred.

Strong understanding of corporate transactions, contract negotiation, partnership structures, and commercial risk allocation.

Exceptional drafting, negotiation, analytical, and communication skills.

Proven ability to independently manage multiple sophisticated transactions in a fast-paced environment.

Strong business judgment with the ability to provide practical legal advice that balances legal risk and commercial objectives.
