As Corporate Counsel, you will collaborate closely with senior attorneys, business leaders, and various departments to manage a variety of transactional and compliance-related matters in a fast-paced, collegial environment. This role provides an excellent opportunity to develop your expertise in corporate and commercial law while gaining exposure to executive leadership and broader business strategies.

Key Responsibilities

Drafting and Negotiation: Review, draft, and negotiate a variety of commercial and transactional agreements, including but not limited to non-disclosure agreements (NDAs), vendor contracts, customer agreements, and other business documents.

Marketing and Intellectual Property: Review marketing materials and provide support in managing and protecting company intellectual property.

Legal Research and Compliance: Conduct legal and factual research, analyze compliance risks, and report findings to leadership as needed.

Strategic Collaboration: Partner with legal, business, and operational teams to support company objectives while ensuring compliance with relevant regulations and policies.

Contract Management: Utilize contract management systems to manage agreements, amendments, legal due diligence, and other related tasks.

Risk Assessment: Identify, assess, and communicate legal and business risks relevant to commercial contracts and business operations.

Client Engagement: Build and maintain positive relationships with internal clients and stakeholders through clear communication and effective collaboration.

Confidentiality and Policy Adherence: Uphold the security of sensitive information and interpret and apply company policies and procedures.

Additional Duties: Perform other duties as assigned by senior attorneys and corporate leaders.

Qualifications

3–7 years of relevant experience as a practicing attorney, with a focus on commercial transactions and/or contract law.

Strong skills in drafting, reviewing, and negotiating commercial agreements.

Experience in legal risk assessment and business advisement preferred.

Excellent written and verbal communication skills with the ability to explain complex legal concepts in a clear and professional manner.

Exceptional organizational, analytical, and project management skills.

Strong attention to detail and the ability to prioritize and manage multiple tasks in a fast-paced environment.

Ability to build trust and maintain positive relationships with individuals at all levels within the organization.

Proficiency in Microsoft Office tools (e.g., Word, Excel, Outlook); experience with contract management software is a plus.

Education and Licensing:

Juris Doctor (J.D.) degree from an ABA-accredited law school required.

Active license to practice law in at least one U.S. jurisdiction.
