Position Overview

We are seeking a highly skilled Corporate Attorney to join our dynamic law firm. The ideal candidate will advise clients on a wide range of corporate matters including mergers & acquisitions, securities compliance, corporate governance, and commercial transactions while helping to grow our practice and deliver exceptional client service.

Key Responsibilities

M&A & Transactions: Lead due diligence, draft and negotiate acquisition agreements, stock purchase agreements, asset purchase agreements, joint venture agreements, and other transactional documents.

Corporate Governance: Advise boards and executive management on governance best practices, board resolutions, shareholder agreements, and regulatory filings.

Securities & Compliance: Guide clients through SEC registrations, private placements, and compliance with federal and state securities laws.

Commercial Contracts: Draft and review a variety of commercial contracts, including distribution agreements, licensing agreements, service agreements, and NDAs.

Client Relationship Management: Maintain and deepen client relationships through regular communication, strategic counsel, and responsiveness to client needs.

Business Development: Collaborate with partners to identify new business opportunities; participate in pitches, proposals, and networking events.

Team Leadership: Supervise and mentor junior attorneys and paralegals; review their work and provide constructive feedback.

Qualifications

Juris Doctor (J.D.) degree from an ABA-accredited law school.

Admission to the state bar (and in good standing).

4–10+ years of corporate law experience

Proven track record handling M&A transactions, securities matters, and corporate governance.

Strong drafting, negotiation, and analytical skills.

Excellent interpersonal and communication skills, both written and verbal.

Ability to manage multiple matters and meet deadlines in a fast-paced environment.

Compensation & Benefits

Salary Range: $150,000 – $350,000, commensurate with experience and qualifications.

Performance-based bonus potential.
