Remote Contract Attorney – Private Funds & Commercial Contracts
Location: United States (Remote)
Engagement: Flexible Contract (Hourly)

A leading U.S. investment firm is seeking a U.S.-qualified attorney to provide flexible legal support across private fund operations and commercial contracting matters. This is a fully remote engagement with flexible hours, ideal for an experienced attorney comfortable working independently in a fast-paced investment environment.
The role will focus on private fund documentation, contract review, and routine legal execution work, supporting the internal legal and compliance team.
Key Responsibilities
Private Fund Support
- Assist with documentation and operational matters relating to private equity and private credit fund structures
- Review and support preparation of subscription documents, investor questionnaires, and side letters
- Support fund transfers, assignments, and consent processes
- Assist with documentation and execution matters across fund entities (LP/GP structures, management company, SPVs)
Commercial Contract Review
- Review and negotiate standard commercial agreements including:
- NDAs
- Vendor agreements
- MSAs and SOWs
- SaaS agreements
- Engagement letters
- Identify key risk areas including economic terms, indemnities, limitation of liability, IP, data security, and termination provisions
Execution & Process Support
- Manage routine legal execution processes such as consents, transfers, and documentation management
- Ensure proper completion of checklists, signatures, and closing documentation
- Escalate key legal judgment calls to senior counsel where appropriate
Regulatory & Compliance Support
- Assist with SEC-registered adviser compliance support tasks
- Support work relating to marketing rule, custody considerations, conflicts, and expense allocations
- Coordinate with external compliance consultants when required
Qualifications
- U.S. bar admission required
- 5–8+ years of legal experience, ideally with exposure to private funds, investment management, or fund formation
- Strong experience reviewing commercial agreements and fund documentation
- Highly organized with strong attention to detail
- Comfortable working independently with minimal supervision
- Ability to prioritize and respond quickly in a fast-moving environment

Engagement Details
