Role Description This is a full-time, on-site Corporate Lawyer role based in Bangkok. The Corporate Lawyer will draft, review, and negotiate a wide range of corporate and commercial contracts, shareholder agreements, joint venture documents, and transaction-related documentation. The role includes advising clients on foreign direct investment structures, regulatory and licensing requirements, BOI and IEAT incentives, and ongoing corporate governance matters. The Corporate Lawyer will conduct legal research, prepare legal opinions and memoranda, and support due diligence for cross-border and domestic transactions. Day-to-day responsibilities also involve liaising with government authorities, coordinating with external stakeholders and service providers, and collaborating with colleagues to deliver clear, business-oriented legal solutions to international clients.
Qualifications
- Strong expertise in corporate and commercial law, including experience with foreign direct investment, joint ventures, M&A, and cross-border transactions.
- Minimum of 3 years of post-qualification experience in corporate and commercial law, preferably gained at an international or reputable local law firm advising foreign clients.
- Proficiency in drafting, reviewing, and negotiating contracts and corporate documents in clear, precise English (Chinese language skills are an advantage).
- Proven ability to conduct thorough legal research, prepare legal opinions, and analyze complex regulatory and compliance frameworks in Thailand.
- Effective client advisory skills, with the ability to translate legal issues into practical, commercially focused guidance for international businesses.
- Excellent written and verbal communication, negotiation, and presentation skills, with strong attention to detail and sound legal judgment.
- Ability to manage multiple matters simultaneously, prioritize deadlines, and work collaboratively in a fast-paced, multicultural environment.
- Licensed to practice law in Thailand with a Bachelor of Laws (LL.B.) or higher; additional international legal education or experience is a plus.
- Prior experience in an international or cross-border practice, particularly advising Chinese or other foreign investors in Thailand, is highly desirable.
