Our client Recruit AI is looking for a Corporate Law Associate in Lahore
As a Legal Associate specializing in Corporate Law at Recruit AI, you play a crucial role in providing comprehensive legal support in corporate governance, regulatory compliance, and risk management. Your Responsibilities
include drafting and reviewing a wide range of corporate documents and agreements, conducting detailed legal research, and providing advisory notes on complex corporate matters. You work closely with internal teams and clients to ensure adherence to the Companies Act, SECP regulations, and other relevant statutory requirements while staying attuned to evolving legislative and regulatory frameworks. This role requires a keen eye for detail and the ability to analyze and interpret local and international case law effectively.
In this position, your efforts contribute significantly to managing corporate risk and ensuring that all transactions and corporate actions comply with current legal standards. You are expected to assist clients with compliance matters, prepare legal petitions and responses, and draft critical corporate governance documents. While not responsible for managing a team, your ability to communicate effectively and provide precise legal solutions is pivotal to the smooth functioning of the legal department at Recruit AI.
Responsibilities
- Draft, review, and finalize corporate agreements, contracts, commercial documents, deeds, and resolutions.
- Prepare and file petitions, applications, and appeals in compliance with the Companies Act, 2017, and SECP Act, 1997.
- Draft detailed responses to show cause notices, regulatory complaints, and legal inquiries.
- Formulate schemes of arrangement, compromises, and corporate reconstruction documents.
- Prepare and amend key corporate governance documents such as Memorandum & Articles of Association, meeting minutes, and official notices.
- Conduct comprehensive legal research on corporate, securities, competition laws, and relevant regulations.
- Analyze and interpret case law from both domestic and international jurisdictions to support legal arguments and advise clients.
- Compile case briefs and advisory summaries to facilitate informed decision-making internally and for clients.
- Advise on regulatory compliance requirements under corporate statutes including the Companies Act and SECP regulations.
- Provide practical, client-focused legal advice on transactional matters and corporate governance issues.
- Monitor legislative changes and regulatory updates, informing the company and clients about implications and required actions.
- Assist in evaluating legal risks and contribute to the development of risk management frameworks within corporate law parameters.
