Summary:
Oversees day-to-day corporate governance operations and supports the Manager in implementing governance strategies, policies, and reporting structures. Acts as a regulatory liaison, project coordinator, and team supervisor to ensure delivery of key governance activities. This role also requires a strong understanding of governance trends and ongoing changes in the regulatory environment.
Duties and Responsibilities:
Oversee the governance of board resolutions, ensuring they are accurately issued, formally communicated, and actioned.
Ensure all governance policies are reviewed, approved, and published through the appropriate channels, in line with established governance workflows.
Lead stakeholder engagement and awareness on policy changes, including briefings and knowledge-sharing sessions.
Coordinate governance alignment across Compliance, Legal, and Internal Audit to ensure all policies reflect up-to-date regulatory requirements and audit inputs.
Manage the corporate governance documentation platform, ensuring accessibility, version control, and audit-readiness of governance records.
Supervise all governance operations, ensuring timely delivery of board materials, reports, and disclosures.
Draft and review high-level governance documents, including board resolutions, minutes, and regulatory letters.
Coordinate all board and committee logistics, including scheduling, materials, and legal documentation.
Ensure action items from governance meetings are tracked, followed up, and documented.
Lead implementation and rollout of new or revised governance policies.
Serve as main coordinator for regulatory inspections, audits, and reporting requirements.
Promote governance awareness across the organization.
Attend board or committee meetings when required and ensure accurate minutes and documentation are produced.
Qualifications / Requirements:
Bachelor’s degree in Law, Business Administration, or a related field (Master’s preferred).
+5 years of experience in corporate governance, legal, or regulatory affairs.
Proven track record in preparing governance reports and meeting regulatory deadlines.
Expert knowledge of governance regulations, disclosure controls, and board processes.
Excellent leadership, writing, and communication skills.
Proficient in handling policy management systems, compliance logs, and reporting workflows.
Strong ability to lead cross-functional coordination and regulatory alignment.
Capable of managing multiple priorities and leading governance improvement initiatives
