Our client is a mission-driven, rapidly growing Independent Power Producer (IPP) focused on developing, financing, and operating renewable energy projects across the U.S. Backed by top-tier investors, the company is entering its next phase of growth and seeks to expand its in-house leadership team to support an active pipeline of utility-scale and distributed generation projects.
The Role
We are seeking a highly capable and business-minded Corporate Counsel to lead and support a broad range of commercial and corporate legal matters. This role will partner closely with senior leadership and cross-functional teams, managing external counsel and playing a key role in developing internal legal processes, systems, and frameworks to support the company’s continued growth.
Ideal candidates will bring broad-based experience across real estate, project finance, M&A, and construction (EPC) contracts, with a strong ability to balance legal risk with practical business considerations in a fast-paced, entrepreneurial environment.
Key Responsibilities
Serve as a trusted legal advisor across all business units, providing timely, actionable counsel on a wide range of legal issues.
Draft, review, and negotiate key commercial contracts, including financing agreements, real estate documents, EPC and supply contracts, NDAs, and LOIs.
Lead legal execution of project-level and corporate transactions, including MIPAs, joint ventures, and partnership agreements.
Identify legal risks and mitigation strategies related to contracts, compliance, and corporate governance.
Oversee and coordinate with outside counsel on project finance, M&A, permitting, and general corporate matters.
Collaborate with internal teams to support transaction structuring, due diligence, and closing processes.
Monitor changes in relevant regulations and ensure legal and regulatory compliance across operations.
Support executive leadership on strategic legal initiatives and organizational planning.
Qualifications
J.D. from an accredited law school; active bar membership in good standing.
5–8+ years of experience practicing law, ideally a mix of top-tier law firm and in-house roles.
Strong background in commercial transactions, M&A, and real estate or project finance.
Exceptional contract drafting, negotiation, and communication skills.
Ability to manage competing priorities and work collaboratively across functions.
High integrity, sound judgment, and a proactive, business-oriented mindset.
Renewable energy experience required.
