About the Role: Applied Digital is seeking a Corporate Counsel, Commercial Contracts & Procurement to join our growing organization. This role is crucial in supporting our business by ensuring that commercial contracts, procurement transactions, and supply chain partnerships are legally sound and aligned with the company’s strategic objectives. You will provide expert legal guidance to leadership and cross-functional teams while ensuring compliance with applicable laws and regulations. Collaborating closely with teams across supply chain, finance, operations, and legal, you will proactively offer legal solutions that mitigate risks before they arise.

Responsibilities:

  • Draft, review, and negotiate commercial contracts, including vendor and supplier agreements, procurement contracts, and client agreements.
  • Ensure contracts align with business objectives while managing legal and financial risks.
  • Collaborate with supply chain, finance, operations, and legal teams to ensure commercial agreements support business goals.
  • Support the company's growth through scalable, legally sound contract management and negotiations.
  • Advise the business on emerging commercial legal trends and potential legal risks.
  • Monitor regulatory developments impacting procurement, supply chain, and commercial transactions, and advise on compliance strategies.

Qualifications:

  • J.D. from an accredited law school and active bar membership in at least one U.S. jurisdiction.
  • 7+ years of legal experience, with a strong background in commercial contracts, procurement, or corporate transactions.
  • Demonstrated expertise in negotiating complex commercial agreements and strong knowledge of contract law.
  • Highly organized, detail-oriented, and capable of managing multiple priorities in a fast-paced environment.
  • Excellent verbal and written communications skills.

  • Security Compliance: Maintains awareness of data center physical and logical security expectations.
  • Digital Literacy: Uses productivity tools (e.g., Outlook, Teams, Excel, ticketing systems) for communication and documentation in office or hybrid settings.

Preferred Skills:

  • Prior in-house experience.
