Thinkof is a growing technology and IT services company focused on innovation, cybersecurity, and digital transformation. This contractor role supports our commercial paper and vendor lifecycle work under a single 1099 engagement.
Role Description
We are looking for a Contracts and Vendor Operations Specialist with a strong background in commercial contracts review, vendor onboarding, and contract lifecycle management to support the day-to-day legal operations function at Thinkof. You will work directly with the Founder and President and escalate substantive legal questions to outside counsel. This role does not provide legal advice; it executes against established playbooks and templates.
Key Responsibilities
· Redline and shepherd NDAs, MSAs, SOWs, DPAs, order forms, and amendments against the Thinkof contract playbook
· Run vendor onboarding end to end: intake form, due diligence checklist, SOC 2 or ISO request, W-9 collection, DocuSign routing, and CRM record
· Maintain a single contracts and vendor register: counterparty, agreement type, effective date, renewal date, notice period, owner, and key obligations
· Track renewals 90, 60, and 30 days out and surface decision points to the Founder before auto-renewal triggers
· Coordinate signature workflows in DocuSign including tagging, signer order, exhibit assembly, and post-execution filing
· Manage offboarding of terminated vendors including license recovery, final payment, data deletion attestations, and surviving obligations log
· Document recurring processes as written SOPs and identify automation opportunities
· Support SOC 2 and ISO 27001 evidence collection related to vendor management and contract obligations
Qualifications
· Three or more years of hands-on contracts review or vendor management experience at a technology, professional services, or law firm setting
· Strong working knowledge of commercial contract terms: indemnification, limitation of liability, IP ownership, confidentiality, warranties, termination, assignment, and survival
· Demonstrated experience redlining NDAs, MSAs, SOWs, and DPAs against a standard playbook
· Experience operating a contract lifecycle management (CLM) workflow, even if manual in Excel / SharePoint
· DocuSign proficiency including envelope tagging, template management, and audit trail handling
· Comfort with U.S. data protection terminology and SOC 2 evidence requests
· Ability to work independently and remotely without daily supervision
· Discretion handling confidential commercial terms, vendor pricing, and counterparty information
· Paralegal certificate, CIPP, or contract management certification (CCCM, CFCM) is a plus
