Position Overview
We are seeking an experienced Private Equity and Venture Capital Attorney at the Partner level who has an established book of institutional clients and a track record of advising on complex transactions. This role is ideal for an entrepreneurial attorney looking to take advantage of Omnus Law’s cutting-edge infrastructure, business development support, and highly competitive compensation model.
Key Responsibilities
Fund Formation & Structuring: Structure and draft Limited Partnership Agreements (LPAs), Private Placement Memorandums (PPMs), and Subscription Agreements. Ensure compliance with SEC, FINRA, CFIUS, and other relevant regulations.
Investment Transactions & Deal Structuring: Negotiate and draft term sheets, stock purchase agreements, convertible notes, SAFE agreements, and preferred equity financing. Lead legal due diligence on startup financing, leveraged buyouts (LBOs), and M&A transactions.
Corporate Governance & Portfolio Oversight: Advise on shareholder agreements, fiduciary duties, and executive compensation plans for portfolio companies. Assist startups and private equity-backed businesses with equity incentive plans and regulatory compliance.
Exit Strategies & Liquidity Events: Structure strategic acquisitions, IPOs, and private sales. Navigate secondary market transactions and fund wind-downs while ensuring regulatory compliance.
Regulatory & Risk Management: Ensure compliance with investment management regulations, antitrust laws, and securities filings. Mitigate legal risks related to fund management, investor disputes, and regulatory investigations.
Collaboration & Growth: Work cross-functionally with other Omnus Law attorneys to provide integrated legal solutions and expand your practice.

Qualifications
Minimum 8+ years of experience in private equity and venture capital law.
A $500k+ portable book of business with institutional clients (required).
Strong experience in Private Equity, Venture Capital, M&A transactions, fund structuring, and regulatory matters.
Excellent drafting, negotiation, and advisory skills.
Entrepreneurial mindset and the ability to work autonomously within a highly collaborative environment.
