As Associate Counsel, you’ll hold a vital role in our organization, providing strategic legal advice and services that support our business objectives while mitigating legal risks. Qualifications

Associate Counsel Responsibilities & Duties

Draft and review contracts, agreements, and other legal documents

Advise on corporate governance and compliance matters

Monitor and ensure regulatory compliance across all business operations

Provide legal support for mergers and acquisitions, including due diligence and negotiation

Oversee litigation to protect the company’s legal interests

Conduct legal research and stay updated on legislation and case laws relevant to the business

Collaborate with external legal counsel when necessary

Develop and implement internal policies and procedures to manage the company’s risk

Provide training and workshops on legal issues for staff

Assist in intellectual property management and protection

Provide RFP, sam.gov, and other commercial and government business support

Corporate Counsel Qualifications & Skills

Corporate transactional experience

Corporate secretary

Experience with government contracting and regulations including FAR

Proven track record in managing complex legal projects

Experience with international law and cross-border transactions

Strong negotiation skills

Membership in relevant professional organizations

Juris Doctor (JD) degree from an accredited law school

Admission to the state bar and in good standing

Minimum of 5 years of experience in corporate law or related field

Strong understanding of corporate governance and regulatory compliance

Excellent analytical and problem-solving skills

Ability to communicate complex legal concepts clearly and concisely

Strong interpersonal and teamwork skills

Proficiency in legal research tools and software

Attention to detail and strong organizational skills

Ability to work under pressure and handle multiple priorities
