Are you passionate about commercial and contract compliance, corporate governance, and legal affairs? We are looking for a Compliance & Governance Executive to join our team and help drive key compliance initiatives!

Key Responsibilities:

Commercial and Contract Compliance:

Assist in implementing and managing the contract compliance framework based on provided guidelines.

Conduct regular audits to ensure adherence to the compliance framework and report findings to senior management.

Review customer contracts to ensure the terms and conditions align with organizational goals and targets.

Discuss and negotiate necessary amendments with client representatives to secure favorable terms while maintaining professional relationships.

Stay updated on changes in legislation or industry practices that may impact commercial terms and compliance, advising relevant teams accordingly.

Assist in the development of standardized contract templates and clauses to expedite the contract review and approval process, ensuring all templates are compliant with organizational guidelines.

Corporate Governance:

Maintain a directory of all legal documents and filings required by legal jurisdictions across UAE, Egypt & KSA.

Maintain the records of companies across these regions.

Perform legal due diligence on contracts and business agreements.

Conduct legal research and prepare necessary Board resolutions.

Maintain Board minutes and manage Board meetings as required.

Assist in group reorganization and simplification exercises.

Maintain the shareholder register for all companies within the group.

Requirements:

Education: Bachelor’s degree in Law (English), Qualified/Part-qualified lawyer preferred

Experience: 3+ years in legal affairs, corporate/commercial law

Languages: Fluent in English and Arabic (both written and spoken)

Skills: Strong knowledge of Excel, Word, and Outlook; excellent attention to detail and organizational skills
