Job Summary:
As a Company Secretary & Legal Associate, you will be responsible for managing company secretarial duties, ensuring regulatory compliance, supporting board governance, and handling a broad range of legal matters including contract drafting, review, and risk management. You’ll work closely with internal stakeholders, external advisors, and government authorities to support the legal health and compliance posture of the organization.
Key Responsibilities:
Manage all company secretarial responsibilities including board and shareholder meetings, maintaining statutory registers, preparing minutes, and filings with MCA/ROC.
Ensure compliance with the Companies Act, 2013, SEBI regulations (if applicable), and other applicable corporate laws.
Draft, review, and negotiate commercial contracts, vendor agreements, NDAs, SaaS contracts, and other legal documents.
Support legal due diligence, corporate restructuring, fundraising, and M&A activities as needed.
Liaise with external legal counsel and regulators for legal compliance and company law matters.
Provide legal support for internal policies, employment contracts, data privacy, and IP-related issues.
Assist with maintaining corporate governance standards and advising the leadership team on legal and regulatory risks.
Keep abreast of legal and regulatory developments affecting the company and implement necessary compliance measures.
Maintain organized records of contracts, licenses, regulatory correspondence, and secretarial documentation.
Required Skills and Qualifications:
Qualified Company Secretary (CS) from ICSI with LLB degree from a recognized university.
2-4 years of post-qualification experience in a corporate or law firm environment, preferably in the SaaS, IT, or technology sector.
Strong knowledge of company law, contract law, and regulatory compliance frameworks.
Excellent drafting, negotiation, and communication skills.
Ability to manage multiple stakeholders and prioritize work in a fast-paced setting.
Meticulous attention to detail and strong organizational skills.
Proficient in MS Office and legal documentation tools.
Preferred Qualifications:
Experience in a startup or fast-scaling technology environment.
Familiarity with international legal and compliance frameworks, such as GDPR, is a plus.
Exposure to ESOP management, data protection laws, and intellectual property matters.
