Role Overview

We are seeking a fully qualified Company Secretary (CS) with strong experience in IPO execution and coordination with merchant bankers.

The role involves leading corporate governance, SEBI compliance, and end-to-end secretarial functions, especially in a pre-IPO / listed environment.

Key Responsibilities

  • IPO & Merchant Banking (Core Focus)

Lead And Manage End-to-end IPO Process, Including

Coordination with merchant bankers, legal advisors, registrars, and stock exchanges

Preparation and vetting of DRHP/RHP and offer documents

Ensure compliance with SEBI (ICDR), LODR, and listing regulations

Act as the primary liaison with SEBI, Stock Exchanges, RoC, and Merchant Bankers

  • Corporate Governance & Secretarial Compliance

Ensure compliance with the Companies Act, SEBI regulations, and other applicable laws

Organize and manage Board Meetings, Committee Meetings, and AGMs

Prepare agendas, minutes, and resolutions

Maintain statutory registers and records

Handle MCA filings and RoC compliance

  • Legal & Documentation

Draft and review contracts, agreements, MoUs, and corporate documents

Ensure all documentation aligns with regulatory and governance standards

  • Stakeholder & Investor Management

Manage shareholder communication and investor relations

Handle regulatory queries and compliance notices

Support fundraising, restructuring, and corporate actions

  • Compliance & Advisory

Track regulatory updates and ensure timely implementation

Advise management on corporate law, governance, and compliance risks

Strengthen internal governance frameworks and policies

Qualifications & Experience

Mandatory: Fully qualified Company Secretary (ICSI)

Experience: 2–10+ years in corporate secretarial and compliance roles

Critical Requirement (Must Have)

Hands-on Experience In

IPO process (DRHP/RHP, SEBI filings, listing compliance)

Working closely with Merchant Bankers

Handling SEBI and Stock Exchange interactions

Skills & Competencies

Strong knowledge of Companies Act, SEBI regulations (ICDR, LODR)

Excellent drafting and documentation skills

Strong stakeholder management and communication skills

High attention to detail, compliance, and accuracy

Ability to work in a fast-paced, high-responsibility environment

Preferred Profile

Experience in IPO-bound or listed companies

Exposure to capital markets / fundraising transactions

Background in infrastructure or diversified groups
