Key Responsibilities

As a Company Secretary and Legal Assistant, you will play a pivotal role in ensuring compliance with corporate laws and providing legal support. Your responsibilities include:

Secretarial Compliance:

Ensure compliance with the Companies Act, 2013, and other applicable regulations.

Prepare, maintain, and update statutory registers, records, and returns.

Organize and manage board meetings, annual general meetings, and committee meetings, including drafting notices, agendas, and minutes.

File necessary documents with the Ministry of Corporate Affairs (MCA) and Registrar of Companies (RoC).

Legal Advisory:

Provide legal support and advice on corporate governance, contracts, and regulatory compliance.

Draft, review, and negotiate agreements, contracts, and legal documents.

Liaise with external legal counsel and regulatory authorities as needed.

Regulatory Filings and Compliance:

Handle filings related to SEBI, FEMA, RBI, and other regulatory bodies (if applicable).

Ensure timely compliance with tax laws, labor laws, and industry-specific regulations.

Other Responsibilities:

Assist in due diligence and documentation for mergers, acquisitions, and other corporate actions.

Maintain confidentiality of sensitive legal and corporate matters.

Provide administrative support to the legal and compliance teams as required.

Qualifications and Skills:

Educational Background:

Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).

Law degree (LLB) is highly desirable.

Experience:

Technical Skills:
