Role Overview:
The Company Secretary will be responsible for ensuring that Tonbo Imaging complies with standard financial and legal practices, maintains high standards of corporate governance, and meets all regulatory requirements both in India and internationally. You will work closely with the Board of Directors, senior management, and regulatory bodies to support Tonbo’s mission in the defense and aerospace sector.
Key Responsibilities:
Ensure compliance with the Companies Act, 2013, SEBI regulations, FEMA, Defense sector-specific regulations (DGCA, DRDO, etc.), and other applicable laws.
Conduct and manage Board Meetings, General Meetings, Committee Meetings — drafting agendas, circulating notices, recording minutes, and filing resolutions.
Handle secretarial compliance, including ROC filings, annual returns, director filings (DIR-3 KYC, DIN, etc.), and maintenance of statutory registers.
Advise the Board and leadership team on corporate governance best practices, emerging regulatory changes, and corporate risk factors.
Manage corporate actions such as issuance/allotment of shares, ESOP management, mergers, acquisitions, and shareholding structure compliance.
Facilitate and manage internal audits, secretarial audits, and support external audits related to corporate governance.
Draft, vet, and review contracts, NDAs, MoUs, and other critical legal documentation.
Ensure strict adherence to confidentiality and data security protocols given Tonbo’s sensitive projects in the defense sector.
Liaise with external regulators and advisors (ROC, MCA, DGCA, DRDO, RBI, etc.) and ensure timely filings and responses.
Assist in managing Intellectual Property (IP) filings and compliance where applicable.
Oversee the preparation and submission of corporate reports to leadership and regulatory agencies.
Skills and Competencies Required:
Expertise in Companies Act, 2013, FEMA regulations, SEBI guidelines, and secretarial standards (SS-1, SS-2).
Strong understanding of compliance in the defense/aerospace sector (preferred).
Excellent communication, organizational, and drafting skills.
Ability to manage sensitive information with strict confidentiality.
High attention to detail, proactive approach, and strong problem-solving abilities.
Experience handling multi-entity corporate structures and cross-border compliance will be a plus.
Proficiency in MCA portal filings, and experience with compliance software/tools.
Qualifications:
Qualified Company Secretary (ACS/FCS) and Member of ICSI.
Bachelor’s degree required (Law Degree preferred).
2-3 years of relevant experience in corporate secretarial practice, preferably in technology, manufacturing, or defense sectors.
