ROLE PURPOSE:

To serve as the principal governance advisor and statutory officer to the Board of Directors of a Bursa Malaysia Main Market listed company, while overseeing and coordinating corporate secretarial, compliance, and governance matters across the listed entity and the wider related group of companies, ensuring full regulatory compliance, sound governance practices, and alignment at group and subsidiary levels.

RESPONSIBILITIES:

  1. Serve and act as the named Company Secretary of the listed company, its subsidiaries and related companies.
  2. Oversee and coordinate corporate secretarial matters for the listed company group as well as the related company group of companies.
  3. Advise the Board and Management on statutory obligations, director’s duties, conflicts of interest, related-party transactions, governance matters, regulatory developments and potential impact to the Company.
  4. Ensure governance and documentation compliance of all statutory provisions regulated by the Companies Commission of Malaysia, Bursa Malaysia, the Securities Commission, MCCG, corporate website and other relevant bodies.
  5. Ensure proper maintenance of statutory registers, records, and governance documentation.
  6. Plan, organize and support Board, Board Committees, AGM, and EGM meetings.
  7. Draft, review, finalize and release board papers, agendas, minutes, resolutions, Bursa announcement & circulars, and all relevant secretarial documents. Handle lodgement of all filings with SSM and Bursa Malaysia.
  8. To coordinate and manage the overall preparation and production of the Company’s Annual Report, including drafting, reviewing and finalizing the Directors’ Profile, Corporate Governance Statement, Statement on Risk Management and Internal Control, Audit Committee Report, Directors’ Responsibility Statement, and other disclosures in compliance with the Listing Requirements of Bursa Malaysia.
  9. Monitor the company’s general email.
  10. Support and manage corporate exercises including but not limited to fund-raising, joint ventures, M&A, disposals, and restructurings.
  11. Coordinate with legal advisers, auditors, regulators, bankers, and consultants, external company secretarial firms on transactional documentation and approvals.
  12. Advise and update the Board in meeting Sustainability and ESG-related governance obligations and disclosures under Bursa requirements for the Annual Report.
  13. Act as the primary liaison with Bursa Malaysia, SSM, Securities Commission, share registrars, and professional advisors.
  14. Establish standardized processes, templates, and governance frameworks and support the Board and Audit Committee on governance (policies and frameworks), compliance, and risk-related matters.
  15. Drive continuous improvement and digitization of secretarial and governance functions.

EDUCATION, EXPERIENCE & SKILL REQUIREMENTS:

  1. Licensed Company Secretary under SSM.
  2. Member of a recognized professional body (MAICSA, MIA, MACS).
  3. Minimum 8 years of experience in corporate secretarial roles, with exposure to Bursa main market listed companies. Experience in property development industry will be an added advantage.
  4. Strong knowledge of Companies Act 2016, Bursa listing requirements and MCCG.
  5. Experience handling corporate exercises and related-party transactions
  6. Excellent drafting and documentation capability.
  7. High integrity, independence, and professional judgment.
  8. Strong stakeholder management and communication skills.
  9. Calm and confident in dealing with regulators and Boards.
