Experience

Fresher or 1-2 years of experience (MNC experience would be a plus)

Preferred Industry

Manufacturing (MNC experience would be a plus)

Responsibilities & Key Result Areas

Statutory Compliance & Documentation

Drafting Notices, preparation of Agendas, Resolutions, recording Minutes, and all related documentation for Board Meetings, AGMs, and EOGMs.

Independently convening and conducting Board Meetings, AGMs, and EOGMs.

Maintaining and recording entries in statutory registers and documents under the Companies Act, 2013.

Ensuring compliance with the Companies Act, 2013, and related rules.

Filings & Legal Compliance

Filing periodic forms and returns with the Registrar of Companies (e.g., AOC, MGT, DIR).

Drafting, standardizing, and improving documents/agreements to ensure statutory compliance.

Preparation of Directors’ Reports and other legal reports.

Handling legal matters, including consumer issues, labor cases, and civil litigation.

Interpreting statutes, regulations, and rules, and advising on legal aspects.

Financial & CSR Activities

Assisting with periodic accounting entries and monthly closure/group reporting processes.

Reviewing and analyzing key financial areas like Accounts Receivable and Accounts Payable.

Monitoring CSR spending, ensuring timely execution on qualifying projects.

Participating in CSR project searches, reviews, and execution.

Audits

Assisting in statutory and group audits from a compliance and accounting perspective.

Ensuring timely submission of necessary audit requirements.

Knowledge & Skills Required

Qualified member of The Institute of Company Secretaries of India.

Knowledge of statutory compliance under Companies Act and other applicable laws.

Experience with filing forms and returns with the Registrar of Companies.

Proficiency in MS Office tools.

Basic understanding of accounting and financial reporting.

Responsibilities & Authority

Responsibilities

Ensure statutory compliance under Companies Act, FEMA, and RBI regulations.

Supervise statutory compliance under all other applicable laws and acts.

Smoothly conduct meetings of the Board of Directors and CSR Committee.

Participate in and ensure compliance with CSR projects and guidelines.

Review and standardize legal agreements entered into by the company.

Authority

Report to the CFO and Board of Directors on statutory matters.

Supervise statutory compliance for all aspects of the company.

Comment on, review, and finalize legal agreements.
